A Business Law Course In 294 Pages

I really wish I had read this book 30 years ago. In nearly every chapter I found myself grimacing over a mistake I've made in past business negotiations, or congratulating myself for intuitively dodging a contractual bullet. The author, Jotham Stein, is an attorney who has spent more than twenty-five years keeping people like me from giving our work away.

The book is really well-written, but it's so packed with important legal concepts that I went through it twice to make sure I was understanding everything. For example, you will be well-advised to make sure you thoroughly understand all the acronyms, which Stein carefully explains as they come up. You are likely to encounter most of them in your negotiations.

To make it all easier to read and digest Stein uses a clever technique of illustrating each concept with fictional vignettes, in which Stein the lawyer is talking a fictional client through a potential corporate employment mine field. Over and over again, I felt like he was talking to me. And when I went on to read the legal rationale behind the vignette, it all made perfect sense in context.

The examples in the book are all basically C-Suite executives (CEO, CFO, COO, etc.) but the lessons are applicable to anyone at any stage of an executive career. I would even venture to say that they might help you get to the C-Suite yourself. I can promise you that I will read Negotiate Like A CEO one more time before I negotiate another employment contract.

Practical and insightful!

Negotiate Like A CEO: How to Get Ahead with Lessons Learned From Top Entrepreneurs and Executives by Jotham S. Stein is a book full of tips and examples on the importance of negotiating and how you should do it well. Anyone signing a potential contract should definitely read this book because the author, Stein, covers the gambit of what could be right or possibly horribly wrong. He ends each chapter with helpful things to remember.

Stein covers mistakes people make often in fictionalized story form. He is skilled in his story telling, because he is a lawyer, with more than 25 years experience practicing. Stein will use jargon at times, but he explains everything in such a way that just about anyone can understand.

My favorite chapter is seven, or Big Picture Strategies. I liked this chapter because it was most applicable to me as a low level personale but need to sign a contract. There is an importance of negotiating face to face, not over email or text or call, but face to face.

I highly recommend this book to anyone who has to deal with contracts. This book is filled with so many gems to ensure you don't end up on the wrong side of a deal, or get a raw deal. This book is straightforward and clear, as well as being filled with solid and practical advice. This book is a wonderful resource for anyone who thinks they have an upcoming contract to sign.

Jotham Stein's "Negotiate Like a CEO" was a solid read and in parts, a real eye-opener for me. The book had a plethora practical tips and strategies you can put to use right away.

Stein's got this knack for breaking down complicated legal stuff and business tactics in a way that's actually fun to read. His writing style is witty and down-to-earth, which made diving into topics like job interviews and employment law a breeze... well maybe not a "breeze" but a lot clearer than I have read before!

He used some very applicable real-life examples to show how to negotiate with success. Whether it's hammering out a salary or understanding tricky legal jargon in contracts, Stein's advice is spot-on and super practical.

I also liked how chapter wraps up with clear takeaways and tips that make it easy to apply what you've learned. Whether you're deep in your career or just starting out, "Negotiate Like a CEO" is a solid read for anyone who wants to nail their negotiations and take charge of their career. Seriously, this book is a game-changer. It's not just about negotiating better, it's about owning your career path. Highly recommend!

protect yourself at all costs reading this book!

Negotiate like a CEO by Jotham S. Stein is one of the best books that I have read this year. In a few words, I would describe this book like this: protect yourself at all costs! This lecture is an essential Guide for navigating the corporate negotiation even if you are an entrepreneur. Each negotiation is unique, and the legal aspects can vary depending on the specific circumstances and jurisdiction, however, instead of consult an expensive attorney, you can consult this book first.
I consider this book as one of the best ways to start in the world of negotiation and persuasion. I wholeheartedly recommend "Negotiate Like a CEO"; it's a treasure trove of valuable insights that should be required reading for all business enthusiasts and aspiring professionals. Whether entering or exiting a job, this book is your armor in the corporate world! Five stars, without a doubt!

Protect yourself

Everyday hundreds or thousands of people get fired from their jobs from the smallest employee to the tallest CEO. When this type of thing happens you need to know how to protect yourself and negotiate for the best and optimal outcome of the situation. In this book you are taught the skills of what a CEO looks out for what they consider and what are their best tactics for negotiation. I found that this was a extremely interesting book just in the fact that it gave me more insights and how bosses CEOs and so on upper management level negotiate and consider the various factors that go into and negotiation and people's livelihoods and how they affect the business. As such this is a great book to read because it will give you the tools to continue your professional work in whatever capacity you need to.

Good advice for upper level employees and founders

This book is full of good info and advice for those wanting to learn how to negotiate and protect themselves when it comes to employment.  It's a jumble of ideas, stories, tips and tricks for how to fight for yourself and make the best of your employment situation. It's written in a casual style that's sort of messy and all over the place.

Though the author says this book is written for everyone, I'm not sure that people who aren't founder / entrepreneurs or higher-level corporate jobs are going to be worried about most of the things that are on the negotiating table in the scenarios described in this book. 

So, I think this would be a good book for upper-level corporate employees and founder/entrepreneurs who are looking for casual and encouraging advice on how to protect themselves.

Negotiate Like a CEO by Jotham S. Stein is a must-have guide for everyone to learn strategies and tips to get ahead in the professional career. The author with his extensive experience and knowledge guides the readers on the importance of equipping oneself with the most important tools that helps to excel and also safeguard in business and employment. Best of practises that essentially protects, saves from pitfalls and provides ample of advices on opportunities. As an avid reader and always on the lookout for career guides, I am pleased to have found one with exceptional information and techniques. This book provides a realistic approach to get forward and potentially saves from wrong choices. The chapters are well organized and the author's narration is clear and precise. I highly-rate it and a must-read.

I admit I expected more from this book. I thought it would be related to CEO-level-negotiating skills, but it's, in fact, a quick guide on how to navigate a legal maze in the corporate world.

I think it benefits those in the USA, but not so much outside of it.

However, I learned one thing from it, and that's why 3 stars - how little I knew in how many different ways you can be screwed in corporate America.

The author of this comprehensive guide graduated from Princeton University then went to Stanford Law School. As the principal of the Law Offices of Jotham S. Stein P.C., he has used the extensive knowledge, and the wealth of experience he has acquired throughout his legal career to write this incredibly informative book.

Not only has Mr. Stein represented and advised innumerable clientele from a vast range of companies for more than two decades, but he has also negotiated various agreements, and is also a litigator representing individuals and corporate clients. The author has served as a part-time General Counsel and is also a member of multiple bar associations. His previous book Executive Employment Law was first published in June 2011 and is now in its ninth edition.

I just had to quote these wise words from NEGOTIATE LIKE A CEO. ‘If you think you’re invulnerable, think again. If you think it can’t happen to you, dream on.’

Everyone with the hunger for success can learn from this book. The business world is cruel; it takes no prisoners. California author Jotham S Stein earned his degrees from Princeton University and from Stanford Law School and has law practice credentials in multiple states in addition to the United States Supreme Court, several United States Courts of Appeals, and District Courts. He has served as a part-time General Counsel of a high tech Silicon Valley company as well as being principal of his Law Offices in California and Illinois. His books to date – EXECUTIVE EMPLOYMENT LAW: PROTECTING EXECUTIVES, ENTREPRENEURS AND EMPLOYEES and now NEGOTIATE LIKE A CEO.

One of the many reasons Stein’s book is so valuable and a pleasure to read is his manner of discourse – relaxed, witty, and relatable. ‘CEOs get fired all the time! This book is an excellent read for anyone who is willing to understand the basic concepts involved in business management. Negotiate Like a CEO written by Jotham S. Stein is an excellent point of departure for considering the adventure of starting a business. It also explains how to protect ourselves while we develop our project and run our business.
This is a very well-written book. I am certainly not an expert in business and finance; however, I enjoyed it and found it simple. The author has put together his knowledge of the subject and his ability to explain complex notions in a very easy way to grasp and has come with a work that is both inspiring and helpful. The writing style and the importance of the advice provided here invite readers to read it several times or just to go back and look for those concepts that we found interesting or that we need at a particular moment.

Negotiate Like a CEO provides excellent insight into the machinations of the corporate world. While much of the instruction in the book relates to the specifics of contracts for execs making big bucks, Stein also makes the reader realize that all of us, including high level employees, can be naïve in job negotiations and are just as subject to firing as anyone. Thus, the general premise that he threads throughout the book: face any business transaction in a cold and calculating fashion, applies to all employees, from the seven-figure exec to the minimum wage worker.

The key to negotiating, according to Stein, really comes down to your mindset and your leverage. If you have leverage, it will be easier to negotiate. Even if you don’t have leverage, if you are shrewd in your tactics, you’ll likely wind up doing okay for yourself.

Stein uses amusing hypotheticals to discuss pitfalls he’s witnessed high level execs fall into who
“assumed” they were protected. From there, he provides pointers on what issues should be not only discussed, but nailed down, in any employment contract. He discusses professional prenuptial agreements; change in control provisions; the value and importance of diluted stock; and a myriad of other issues that arise in high level job negotiations.

But he also addresses matters relative to non-executive jobs. He discusses how most states recognize ‘at will’ employment (with some exceptions) which means you can be fired for any non-discriminatory reason. He points out that headhunters are never the employee’s advocate, almost always beholden to the employer. He speaks on non-disparagement clauses, non-competes, NDAs (confidentiality agreements), and arbitration clauses, all of which may be presented as a part of an employee’s onboarding with a new employer. These provisions should be read and understood, at a minimum, and best-case scenario, negotiated. Stein also discusses how to potentially leverage mistreatment on the job (think, age discrimination) into severance.

While much of the information (and vocabulary) relates to the top echelon of employees, any employee would benefit from reading Negotiate Like a CEO. If only for the understanding that, in business, it’s every person – or company – for themselves, and the only person who is going to look out for you, is you.

I have really poor negotiation skills, that's why “Negotiate Like a CEO" by Jotham S. Stein was a great resource for me. Being able to get your time’s worth is important and even as negotiating your desired or fitting compensation. Leverage, finding the right one and knowing when to use it. The book is a great guide on how to position and give value to your work, talent and skill. It is a simple and uncomplicated guide. Also, it teaches you how to properly protect yourself and the things you contribute to the company. The valuable lessons are written in a form of a short story which makes them easy to connect with. Always make sure that you don't get cheated with equity, this is in the form of tangible and intangible assets.

‘Negotiate Like a CEO’ sheds light on the too often shrouded world of mid and high-level corporate contracts. Jotham Stein, a lawyer with decades of experience in every type of transaction, takes the reader through the maze of possibilities; from normal employment contracts to those sought by in-demand C-Suite Executives; from Protective Indemnification Agreements to how entrepreneurs and executives differ and yet exist together; from protecting your job and investment in a company from changes in corporate control to the nature of Arbitration Agreements. Make no mistake, Stein reiterates, it is vital to protect yourself from every trap door, every contingency or every negative possibility which may exist, or come along!

But beyond the nuts and bolts of contracts and stock options, Stein gives the reader a lesson which is part of every aspect of our lives: Seek to possess maximum leverage in every situation. In the corporate world of employment contracts, obtaining, exploiting and capitalizing on that leverage will determine position, salary, benefits, stock options, separation agreements and respect in the wider world.

Using fictional stories based on events that happen all the time, Jotham Stein offers examples that cost men and women millions before he carefully shows how to prevent such an outcome. Founders of companies lost control of their dreams by not reading the fine print, by not having seasoned professionals scour every word of every clause of every contract involved, by not taking into account human nature in all transactions.

‘Negotiate Like a CEO’ starts with this truism: “Boards, bosses, investors, employers—those making the decisions that affect your life and employment—act irrationally all the time. Blunt, honest, and to the point! A must-read for anyone in business!


Jotham S. A graduate of Stanford Law School and Princeton University, Mr. Stein has used his world class education as a foundation for a truly world-class legal career.

Negotiate Like a CEO is “an engaging look at how top entrepreneurs and executives protect themselves and how you can too.” Stein writes with a voice that is no-nonsense, blunt, and to the point. Illustrating his points with stories that are a compilation of experiences that he commonly sees, as well as factual anecdotes from his career, Stein writes with a concise clarity and a humorous tone that makes the lessons memorable.

While aimed at executives, entrepreneurs, and those that aspire to succeed in business, Stein’s book has application for anybody signing employment agreements or contracts and is packed with principles that can help employees learn to protect their interests and equity. Stein turns a book about employment negotiations into a straight shooting guide that entertains, enlivens, and educates the reader. This book is chock full of important and brutally honest advice - an absolute must-read, whether you’re in business or not!

This book is the perfect guide to protect you from all the adversity that exists in the business world. Negotiate Like a CEO by Jotham S. Stein will be your best friend in leading with problems and also will help you to avoid these situations. It is a MUST read. No one is immune to get fired and cheated out of money, stock and commission, not even if you are the founder of the company, that is why this book is so important and relevant.
My favorite part was the chapter that explains all the key terms you have to take into account before signing a contract, all the prenuptial agreements that would avoid you to have a bunch of problems at the end. It explains the importance of having a great offer letter and shows us what to consider and how to ask for it politely. I highly recommend this book.

“Negotiate Like a CEO” by talented business leader and author, Jotham Stein, is a brilliant book about business that clarifies so many important questions. Jotham emphasizes the vital importance of covering oneself legally no matter how high up the business hierarchy one is, because anyone is liable to be fired or sued for one reason or another.

I really appreciate this author’s easily accessible advice and pleasant writing style. Another element of this book for which I am very grateful is the chapter at the end that reminds readers of the most important things that were discussed during the book. Whether you have been in business for a long time or are just starting up, this book will be a blessing.

Negotiate Like A CEO is a helpful guide for building confidence as you go about your entrepreneurial or employment activities. With the author’s experience, he provides advice to help readers understand what to ask for at work, beat your competitors, the power of your signature, be bold, and understand the art of negotiation.

Stein’s writing style is direct and easy to follow. His advice for business leaders such as executives, founders of organizations, entrepreneurs, and company decision-makers is realistic and blunt. In addition, the author gives a step-by-step breakdown when introducing a new topic to ensure comprehension.

The author uses personal stories to share his ideas and present his concepts. By writing about his encounters, challenges, and wins, Stein connects with his readers on a basic level, showing he has been where they are before. I appreciate the author for addressing people employed by organizations and those who are self-employed. The author balanced the guidance he has for the two groups flawlessly.

Negotiate Like A CEO: How To Get Ahead With Lessons Learned From Top Entrepreneurs and Executives, by Jotham S. Stein, is a nonfiction, no-nonsense guide to protecting yourself in business. Riveting questions are answered, such as, how to negotiate, the importance of offer letters, and especially how to protect yourself if the worst happens. Stein uses authentic-to-life examples which are priceless for anyone in the business world. The author also includes how to apply his principles as well as protect yourself at work, and achieve desired success. In, Negotiate Like A CEO, Stein teaches that not everyone in the business world has a shared goal or interest, and gives examples. Stein also relates to the importance of getting all the agreements in writing because if it is not in print, you’re not protected. Don’t leave yourself open for failure. Stein is also an expert, in my opinion, on business practices and business law. Yet he writes in a conversational, easy to grasp, manner. I would highly recommend this book to anyone in the business field or entering the business world.

I find this book a very valuable read. Negotiate Like a CEO: How to Get Ahead with Lessons Learned From Top Entrepreneurs and Executives by Jotham S. Stein teaches us how to be aware and vigilant when it comes to what we do in the company we work for or in the company we own. It's educating everyone how to protect themselves by learning the art of negotiating. This was very informative and it's something that not most self-help books teach. The information is also something that we can't easily find on the internet. I can definitely use this information as I am working my 9-5. I have learned a lot!
