In December 2023, the Board of Directors of Gildan plunged the company into chaos by abruptly terminating high-performing and long-standing CEO, Glenn Chamandy, without cause or credible explanation. This led to at least nine significant long-time shareholders publicly demanding that Mr. Chamandy be reinstated. In response, the Board doubled down and fast-tracked the appointment of former University of Louisville Director of Athletics, Vince Tyra, as CEO - a decision that has since resulted in the resignation of seven directors including the chair of the company. A sense of entitlement belongs no where- but especially not in the board of directors space, where it has been a constant paradigm since class, privilege and business first arose in human society. My test? If you truly believe you are entitled to a board position simply because of who you perceive yourself to be, then I would say no. ( this is not to be confconfused with believing you can bring true value to the board and the organization from their perspective, not yours) I would also add, if you covet the board position, you shouldn’t be there- because your true independent judgment of what’s best for the organization, its staff, stakeholders and customers, will be clouded by your own self preservation. #governance #aicd #oversight #boardofdirectors #companydirector #entitlement #priveledge #responsibility Australian Institute of Company Directors Evan Dukas Anand Tatavarthi Lyn George
