I have been advising M&A and general corporate matters since 2010. I'm heading tech sector M&A at COBALT.

I advise clients mainly on mergers, acquisitions, restructurings, and other general corporate law related questions. I have been involved in several M&A projects, advising clients on share and asset deals, strategic and financial investments. I have also advised several start-ups on shareholders’ relations, motivation packages and other matters. Among others, I have has experience in:

- sale of shares, including by way of auction, sale of assets, share subscriptions
- shareholders relations, including various motivation packages and options
- both vendor and buyer side legal due diligence, including negotiations with virtual data room providers, set up the virtual data room, collection of documentation
- mergers, demergers, reorganizations, liquidations
- corporate restructurings, including establishing companies in Estonia, Cyprus, Malta
- various commercial agreements, including service agreements, sales agreements, agency agreements
-other corporate matters, including shareholders meetings, changes to articles, capital and governing bodies
- financing and collateral agreements, including realization of collaterals
- registration of pleasure yachts in Estonia and London
- environmental matters, including obtaining and transferring environmental permits; issues related to greenhouse gas emission allowances and wind farms

I am a valued team member and also has excellent project management skills and understanding of successful teamwork. I have led several legal projects, including complicated cross-border projects involving teams from several jurisdictions.

    Pärnu

    Infomess Suunaja is the biggest education and youth information fair in Southwest Estonia taking place in Pärnu since 1995. The fair has on average 50 exhibits and 2 000 visitors.

    As one of the two organisers I’m hands on in every aspect of organising the fair.

    Lahe Koolipäev is one of the biggest youth conference in Estonia organized since 2004. The conference was aimed to the best school students and many schools used to promote their top students by sending them to the conference. The speakers were leading individuals in their respective areas. Lahe Koolipäev had around 400 participants each year.

    I organised two conferences with the titles “How to decide smartly?” and “In what we believe?” with the help of a team of 8 people.

    Youths Union of Pärnu raised out of the United Schools of Pärnu with the aim to increase the youth participation and representation in processes involving youths. The United Schools of Pärnu were a forum of students organising events. The aim was to bring such gatherings to the next level by building up a new organisation with strategy, action plan and management. Youths Union of Pärnu was a valued partner in organising the theme year of Pärnu called “Year of the Youths 2005”. Among many…

Among many projects the Youths Union of Pärnu opened and operated of a youth centre in the downtown of Pärnu. Youths Union of Pärnu is still existing today.

    I helped to built up fully functioning organisation and led a team of 15 volunteers. I was also a member of City of Pärnu committee for the Year of the Youths 2005 and City of Pärnu youth governing bodies coordination committee and participated in developing a strategy of youth work of City of Pärnu.
