In October 2023, the Monetary Authority of Singapore (MAS) proposed the repeal of the Registered Fund Management Company (RFMC) regime, which marks a significant shift in the regulatory landscape for fund managers serving accredited and institutional investors. Previously, the RFMC framework provided a simplified regulatory regime for fund managers with no more than 30 qualified investors or S$250 million in assets under management (AUM). This was particularly beneficial for new fund managers and those managing multiple family offices or high net worth (HNW) individuals' assets. With RFMC applications closed since 1 January 2024, fund managers serving accredited and institutional investors in Singapore must now: 📓 Licensing Requirements — apply for a capital markets services licence under the SFA, specifically the accredited/institutional investor fund management company (A/I FMC) licence. Similar to the RFMC regime, the A/I FMC licence requires two directors with 5 years of relevant experience, one of whom has to be full-time and resident in Singapore; 📓 Reporting and Notification Requirements — submit detailed quarterly reports and provide prior notice to (or obtain prior approval from) the MAS for certain changes within the fund management company; and 📓 MAS Regulations, Notices and Guidelines — comply with the MAS' business conduct and requirements relating to A/I FMCs, including risk based capital adequacy requirements in accordance with the MAS' notices and guidelines. Existing RFMCs❗must apply for and obtain an A/I FMC (or other fund management) licence before the repeal, for which the MAS has yet to announce a date, and will be initially subject to a limit of S$250 million in AUM (but with no limit on the number of accredited or institutional investors), with increases subject to MAS' review. Despite the above, Singapore continues to offer funds and fund managers significant advantages, including a wide range of double taxation agreements, tax exemptions for fund income and the notably flexible variable capital companies framework - in addition, A/I FMC licences have substantially the same eligibility requirements as those for RFMCs. Finally, single family offices may also seek an exemption (which may soon be a class rather than case-by-case exemption) from requiring a licence from the MAS, and remains an attractive option for HNWs seeking to leverage Singapore's infrastructure and tax benefits.
