This landmark transaction involved a multi-disciplinary team from Fieldfisher’s corporate, tax, incentives, regulatory, and finance practices. 🎬 We were very happy about the fantastic response to our panel event "Co-Production in Challenging Times" at the 41st FILMFEST MÜNCHEN!   Our key takeaways from Steve Saltzman's keynote and the panel session: The days of the financial largess motivated by the streaming wars are largely over; the industry is facing stricter curation and lower budgets. However, the good news is that producers can still manage to finance projects reverting to a model that has been around for decades, since the streamers are now more prepared to license particular territories or even particular windows of exploitation. This means more work (especially for lawyers), more creative masters, more time and effort putting pieces of the financing puzzle together. Our Fieldfisher Head of International Entertainment Group Stephen Saltzman had a few tips to make the co-production journey a bit smoother:   • Chain of Title: you're always better off if you can anticipate the needs/desires of the jurisdictions and companies which have the most stringent approaches towards such issues as moral rights, reserved rights, waivers of injunctive relief, etc.   • Lending: think ahead, and at the very least, have a clause in the financing/distribution agreement that obligates the financing distributor to enter into a customary interparty agreement or notice of assignment, and, if you don’t want to be arguing down the road about what constitutes “customary“, include the essentials that you know a bank will be demanding.   • Approvals: pay attention to who and how many parties you may be giving approval rights and takeover rights, as this is also a recipe for future issues when you are trying to close financing. These are the things that will come back to bite you later.   • Branding: co-production means co-branding in a sense, particular if you are splitting up different “windows” of exploitation, and the buyers are all about their branding and where and how their credits and logos appear, so make sure that you are not creating any conflicts among your financier/distributors in this regard.   • Split rights means more complexity and more “commissioners” that need to be satisfied, but these types of arrangements were quite prolific before the streaming wars, and now we are returning to same, with even more issues to think about and make fit together than ever before.   After Steve Saltzman's keynote, Dr. Martin Diesbach moderated the discussion with panelists Jolinde Sawahn, David Kehrl and Dennis Maly.
