Should bid price be the only factor to consider when evaluating a takeover offer? Take the case of a popular asset management firm, Sculptor Capital Management, and the two bids it recently received from hopeful acquirers. One being a bid price of $12.7 from Rithm Capital Corp., and the other being a bid of $13.5 from Saba Capital Management. For context, Sculptor own share was priced at $12.65 when the market closed on Friday. From a purely financial perspective, Saba's offer appears significantly more advantageous to shareholders, despite coming with certain conditions. These conditions include the demotion of Jimmy Levin, the firm's current sole chief investment officer, and a requirement for a specific percentage of the firm's hedge fund clients to agree to remain with Sculptor if it is acquired by Saba, with the final percentage ultimately brought down to zero. Though from a pure numbers perspective Saba's offer seems much more accretive, this deal shows that perhaps M&A deals may not be as one dimensional as just opting for the highest bid. Both the firms have to evaluate the synergies such an acquisition will bring to their respective businesses and also have to consider other factors like the interests of other stakeholders - for instance, the interests of employees.
