Magnusson Denmark supports Pan-European VC fund, BlackWood Ventures, in yet another cross-border investment – this time in US Sam Jalaei, Managing Partner and Head of Corporate M&A, led Magnusson Denmark's team in supporting the pan-European venture capital fund Blackwood Ventures $3.4 million funding round for IVM Markets Inc USA, an American based start-up aiming at scaling the advisory services for structured financial products. Blackwood's investment in IVM Markets Inc. USA will enable the company to accelerate sales and enhance customer success while delivering advanced AI-driven features and analytics to its clients. The investment will support IVM Markets Inc. USA in fulfilling its overall vision to enable financial institutions to design and refine structured products before purchasing the final offerings from bulge bracket banks. M&A cross-border deal news – Managing Partner and Head of Corporate M&A Sam Jalaei led Magnusson Denmark’s Corporate M&A team (listed below) in assisting the France-based Milexia Group’s (with several subsidiaries across Europe) acquisition of Scandinavian Danish HQ based company, Cabcon A/S.   In close collaboration with Milexia Group’s French lawyers from the esteemed Winston & Strawn LLP Paris team led by Partner Grine Lahreche, Magnusson Denmark advised with regard to the acquisition of the target’s Danish parent company with offices in Norway, Sweden, Poland and Hong Kong, including preparing the initial documents, conducting full legal due diligence and providing report, FDI application filing and approval, negotiation of the acquisition documents, including the SPA and other relevant ancillary transaction documents, and establishment of a Danish SPV in support of Milexia Group’s 100% share capital acquisition of Cabcon A/S. Furthermore, Magnusson Denmark assisted with and advised on Danish corporate, employment and contract law amongst other relevant areas of law.   The resulting partnership will allow Milexia Group to reinforce its global presence by establishing more direct contact with end customers especially in Denmark, Sweden and Norway.
