Construction attorneys Sara Bryant, Andrew Wailgum and Lindsey McComber co-authored an alert regarding the Supreme Judicial Court’s (SJC) interpretation of the Massachusetts Prompt Payment Act in Business Interiors Floor Covering Business Trust v. Graycor Construction Company, Inc., et al. In its decision, the SJC held that applications for payment that are not rejected in accordance with the Act, and are therefore deemed approved under the Act, must be paid before defenses can be raised by the paying party. In a recent Employment Law Perspectives blog post, attorney Salvatore Gangemi details the decision of another federal court to issue a preliminary injunction against the Federal Trade Commission’s (FTC) non-compete ban. Last week, on August 14, 2024, a Florida federal court addressed the Federal Trade Commission’s non-compete ban in Properties of the Villages, Inc. v. Federal Trade Commission and entered a limited preliminary injunction preventing the rule from taking effect and limited the preliminary injunction to the parties in the case. This injunction follows the lead of the Texas federal court that issued a preliminary injunction in Ryan LLC v. Federal Trade Commission earlier this year. Federal Trade Commission, as well as the impacts these preliminary injunctions may have on the likelihood of the FTC’s non-compete rule becoming effective. Murtha attorneys William M. and Ryan Dunn co-authored a client alert on the impacts of the U.S. Supreme Court’s decision in Connelly v. United States (144 S. Ct. 1406) on buy-sell agreements. In this June 6 decision, the U.S. Supreme Court unanimously held that (1) life insurance policy proceeds received by a corporation to redeem a deceased shareholder’s stock are an asset of the corporation includable in the company’s date-of-death value; and (2) the company’s obligation to redeem the decedent’s stock in exchange for the proceeds does not offset the inclusion of the proceeds as a company asset. In this case, the decision resulted in a significant increase in the value of the deceased shareholder’s stock and in the estate taxes due from his estate.
