The article stems from a deal that all three authors worked in 2013. During the due diligence phase, the team discovered that the seller was a defendant in a False Claims Act case with significant potential damages. To avoid the FCA liability, the seller attempted to structure the deal as an asset sale. However, as detailed in the article, an asset sale does not always prevent successor liability with federal claims.
