Contracts Manager / Sr Paralegal

Reports to: General Counsel

Position Summary

We are looking for a detail-oriented and proactive Contracts Manager to oversee all aspects of contract management within our organization. The Contracts Manager will provide legal support and assistance to the General Counsel and employees and will be responsible for drafting, reviewing, negotiating, and managing a wide variety of agreements. The ideal candidate will have a strong understanding of contract law, excellent negotiation skills, and the ability to effectively communicate and collaborate with internal stakeholders and external partners.

Primary Responsibilities

  • Drafting and negotiating various agreements, including but not limited to, non-disclosure, clinical trial, master service, supply, manufacturing, licensing, investigator initiated studies, material transfer, consulting, advisory boards, collaborations, and the purchase of services from vendors.
  • Demonstration of an understanding of legal contract concepts, negotiation strategies, efficient administration and automation of contract processes.
  • Working closely with the General Counsel and staff in the Legal Department
  • Keeping up to date on current laws and regulations, including laws and industry standards applicable to contracting with customers (healthcare providers, patient advisory groups, trade associations and patients).
  • Implements contract negotiations processes by preparing first drafts of a variety of contracts.
  • Conducts moderately complex contract drafting and negotiations.
  • Interfaces with internal management and external parties to gather specifications, and terms of agreement necessary for contract drafting and negotiations.
  • Responsible for entire negotiations processes for one or more types of contracts.
  • Communicates company contract policies and requirements to internal managers and employees and highlights areas of concern in regards to individual contracts projects.
  • Determines and initiates required follow-up and/or additional analyses.
  • May lead projects.
  • May review and summarize existing contracts internally and/or as part of an external diligence process
  • Oversight for contract templates.
  • Assist with and / or handle client training presentations with respect to company policy, contract approval processes, etc.
  • Keep apprised of issues relevant to medical device and biopharma industry and accurately relay this information to clients.
  • Work with internal stakeholders and third parties to identify, assess and address general legal concerns related to agreements.
  • Perform all activities in compliance with applicable regulations, Fractyl’s policies and guidelines, including, but not limited to, timely documentation of activities and maintaining all required applicable training.
  • Bring a “can do” spirit to work and deliver on other responsibilities as assigned.


Education or Certification Requirements

  • A Bachelor’s Degree in business, legal studies or related and/or Paralegal Certification with 3-5 years’ experience in the contract management field preferred
  • Advanced degree or certification in Contract Management or Contract Law is a plus.


Professional Work Experience

  • 5+ years of experience in-house corporate legal department(medical devices, pharma and/or biotech background preferred); law firm experience considered
  • Applicable experience in biotech, pharmaceutical and/or medical device industries preferred.
  • Prior vocational experience in related fields a plus (i.e. Co-Ops, Internships, Fellowships, etc.).


Qualifications And Skills

  • Experience handling a wide variety of contracts, preferably in the medical device/biotech/pharma industry
  • Experience working directly with sophisticated clients, meeting business deadlines, and prioritizing competing projects
  • Working knowledge of contract law and experience drafting, reviewing, and negotiating a variety of contracts.
  • Working knowledge of healthcare laws affecting pharmaceutical business including federal anti-kickback statute, federal Food, Drug and Cosmetic act, the federal Physician Sunshine Act, and federal and state privacy laws
  • Ability to exercise independent thought and judgment in advising clients and making decisions within area of responsibility.
  • Ability to communicate complex legal information to individuals at various levels of the organization.
  • Ability to negotiate effectively with internal clients, third parties and outside counsel and foster collaboration and compromise within legal parameters.
  • Ability to weigh pros and cons of a particular position and exercise judgment in determining when it is necessary to seek direction from in house counsel in order to make a decision.
  • Maintain the highest ethical standards and respects confidentiality of sensitive matter.
  • Ability to read and understand corporate policies, statutes and government regulations.
  • Excellent communication, negotiation, and interpersonal skills, with the ability to build rapport and influence stakeholders at all levels of the organization.
  • Highly organized with exceptional attention to detail and the ability to manage multiple priorities in a fast-paced environment.
  • Proficiency in contract management software and Microsoft Office Suite.
