Fort Partners is seeking an experienced Counsel to support the General Counsel in managing all legal matters related to the company. This role involves preparing, negotiating, and reviewing contracts, addressing legal issues throughout project development, drafting correspondence, preparing employment agreements, and assisting with consumer purchase and sale agreements. The ideal candidate will also gather due diligence information, assist with insurance procurement, coordinate licensing, and facilitate document execution. 


Key Duties & Responsibilities:


• Prepare, negotiate, and review contract agreements with third parties, including construction, engineering, and specialized consultants. 

• Review and create summaries and abstracts of agreements identifying major issues

• Draft correspondence and letter agreements for review by the General Counsel. 

• Address legal issues that arise during project development. 

• Mitigate the risk of litigation through proactive legal strategies.

• Prepare employment agreements in coordination with HR and the General Counsel.

• Assist in the preparation and review of consumer purchase and sale agreements. 

• Communicate with purchasers to address pre- and post-closing issues. 

• Gather KYC and due diligence information for potential lenders in financing transactions.

• Respond to additional requests from lenders. 

• Assist in providing information to insurance brokers.

• Ensure adequate insurance is procured throughout project development. 

• Coordinate with outside counsel and the hospitality team to secure necessary business, hotel, and restaurant licenses. 

• Perform legal research and prepare memos on various legal issues

• Coordinate the execution of documents by members of the executive team. 


Required Skills & Qualifications:


• Juris Doctor from an accredited law school 

• 2-3 years of experience with a law firm or in-house. Construction or real estate law experience is preferred but not required.

• Strong understanding of contract law and legal documentation. 

• Excellent negotiation, communication, and organizational skills.

• Ability to manage multiple tasks and meet deadlines. 

• Proficiency in legal research and Microsoft Office Suite. 

• Detail-oriented with a strong sense of confidentiality and integrity.


Work Environment:


  • Full-time position from Monday to Friday from 8 am to 5 pm, however, schedule will vary to accommodate the business needs of the company. 
  • Hybrid- with occasional travel to project sites as required. 
  • The salary will be commensurate with the level of experience
