Nerding out on fund terms! Some LPs push back against what they see as #privatequity GPs not appropriately offsetting deal fees when it comes to deals with co-investors. The deal fee offset doesn't get applied to the portion of a deal funded by co-investors (who usually pay no fees). That portion of the offset instead becomes a 'windfall' for the management company. Many LPs, and ILPA, push for the full offset flowing to the benefit of the fund. A compromise is for GPs to provide 'full transparency' on gross fees and what has and has not been offset.
