Despite a #substantial £604 million post-tax gain from the sale of advisory firm FGS Global to KKR, WPP experienced a 3.6% decline in #organic #growth. This decline was largely driven by a significant 24.2% drop in growth in China during the second quarter. In the United Kingdom, #growth decreased by 2.6% in H1, with positive #performances at Ogilvy and Hogarth being outweighed by declines in other #agencies. However, the #company saw better performance in other #international markets, with North America achieving 2% growth and western continental Europe seeing a 0.3% increase. The ‘Rest of World’ division experienced a 2.2% decline in revenue. WPP is reportedly nearing a deal to sell its controlling stake in financial communications company FGS Global to private equity group KKR for approximately $800mn. The deal, which could be announced as early as Wednesday, would value FGS Global at around $1.6bn. KKR is expected to increase its stake from 30% to 80%, with p#artners and management holding the remainder as an incentive to stay. FGS Global, formed through a #merger, operates in 30 offices worldwide, serving over 1,600 clients and generating $450mn in revenue last year. Will WPP be broken up or sold? Good reporting below by Digiday's Ronan Shields. The Mercer Island Group view: 1. WPP is so big and in such a chaotic industry (AI impacts, in-housing, etc.) for a PE takeover to make much sense 2. A merger with any of the other major holdcos is unlikely - the merger partner would be taking on a new bundle of challenges with a very uncertain path to success 3. They have generally maxed out on mergers with many of the large pieces already "merged" (VML eating Wunderman, Essence marrying Mediacom, the recent Burson moves, etc.); the result is that over 90% of WPP's 114,000 employees can be found in a small group that includes GroupM, VML, Ogilvy, AKQA, Hogarth and 3 PR entities. Might they split off GroupM from the rest? There is an argument for that... but also headwinds on the client side where more integration is desired. So, what may happen? We’ve worked with private equity firm WestBridge for many years, managing all aspects of their marketing and communications. Securing media coverage for them around transactions is a given so how else do we maintain their profile when there isn’t a deal to publicise? In many different ways! As well as proactively seeking out opportunities to profile their portfolio companies in the media and through WestBridge’s own communication channels, we contribute commentary to relevant features in the PE and business press, and pitch key people for interview. As well as promoting WestBridge’s dedication to ESG and responsible investing, we are keen to promote their approach to value creation. The attached piece in Actum, a key platform for providing private equity sector insights and news, is a perfect example of how PR can be used to convey important messages to a niche audience. In the article, Rebecca Sinclair, senior investment manager at WestBridge, talks about the firm’s approach to value creation, along with the importance of patience when onboarding an investment. WPP, the industry’s largest #marketing services group, yesterday hosted its annual general meeting this week. At the meeting, it outlined plans to become “the most creative company in the world,” a vision its leadership hopes will turn around fortunes. WPP’s board explained that its strategy includes plans to “build world-class, market-leading brands” through investments in “AI data and technology” and efficient execution to drive “strong financial results.” During summit, shareholders were asked to elect board members. Andrew Scott, the group’s COO–an existing board member facing election for the first time—was a notable inclusion given his remit to ‘simplify’ WPP’s portfolio. His inclusion in the board election is significant, given his mandate to ‘simplify’ WPP’s portfolio, which is a key focus for the company, plus mergers and acquisitions. According to Digiday sources, Scott’s activity in recent (and forthcoming) months is likely to profoundly impact WPP’s future. And such sources claim his opposite counterparts across ‘The Big Four’ agency holding companies are likely having similar ruminations as the agency-holding group model is under debate.
