“The role of a CFO is not only to push innovation forward, but to do in a way that’s capital efficient.” I’ve heard many times the role of a CFO has changed. I can’t speak to if a CFO leading the strategy of a company is new but it’s certainly pivotal. Being a CFO isn’t (just) about the numbers. The CEO has the vision. The CFO is the closest adviser driving the how.

Olivia Macdonald, CFA, Deputy CIO at Marylebone Partners LLP, spoke to Founder and CIO of Engaged Capital LLC, Glenn Welling, at our investor day last month. They discussed how Engaged Capital creates long-term value in publicly listed mid-cap companies. Glenn explained how investee company, Shake Shack, started out as a hot dog stand in New York to become a fast-growing multi-outlet quick service restaurant across the US, Europe, MENA and the Far East. Despite this growth, its share price and valuation lagged its peers. What was the recipe for Engaged Capital’s successful strategy to turn the situation around? 1- People matter. Having industry experience at Board and senior management levels is crucial. 2- Domain expertise is important. Engaged Capital’s knowledge of the quick service restaurant sector enabled them to transform the way the kitchens were run and identify cost-savings. 3- Constructive engagement with companies is key. A public squabble is rarely the answer. In the words of Glenn on the role of activism and creating value for shareholders: ‘You can’t make good music unless there is some tension in the strings.’

The Chick-fil-A Model for Corporate and Christian Life Alike Chick-Fil-A’s Politeness Mechanism as an Example for Corporate America By Antonio J. Soave June 14, 2024 I have been in the work world for a long time now; in fact, it’s been almost 40 years since my official work started. As a non-practicing attorney, I have done corporate Mergers & Acquisitions (M&A) on deals spanning the globe for nearly four decades—from the U.S. to South America and from Europe to the Middle East (and well beyond). I’m thankful for that experience, of course. But there is one element and component that I have found to be the overwhelming factor that is attributable to success, whether in the U.S. or in another country. Simply put, it is this: RESPECT. If we respect others and we treat them properly, chances are we will receive similar treatment in return. Most certainly, this is a biblical concept, too: Romans 12:10 “Love each other with genuine affection, and take delight in honoring each other.” 1 Peter 2:17 "Show proper respect to everyone: Love the brotherhood of believers, fear God, honor the King". It's important to understand that respect should not be contrived, manufactured and/or artificial. That is, it should not be a “falsified respect” that we employ. Years ago, when doing M&A deals in Europe, I saw many who employed a scheme and a tactic that I referred to as “strategic humility.” Obviously, strategic humility is a lie, so it’s no good—not in the least. We cannot lie our way through scenarios. We can try, but sooner or later, the lie will be discovered. This brings us to Chick-fil-A and why it has been a great example for us today. As a Christian-led institution that makes no apologies for the faith of its founders, it also extends into a corporate model of basic politeness that has all but replaced the antithesis that is often found at competitors such as McDonalds. In fact, my children frequently remind me of the reason we almost always choose Chick-fil-A when fast food is a necessity on the road. They say this: “Daddy, we love going to Chick-fil-A because they are always so nice … Oh, and we also like the waffle fries and the chicken sandwiches.” See, that politeness model goes so far that it literally keeps people coming back. I also believe that Chick-fil-A’s politeness actually seeps into the food as well. Being from an Italian family, there is a notion that Italian meals are made with love. Sure, the ingredients are wholesome and so on. But the meals seem to taste just a little better when they are made with love, care, and attention. And so, this is a great model for the corporate world to follow today. The point is this:       Being nice actually pays huge corporate dividends. The Corporate Transparency Act requires any person who “exercises substantial control” over an entity to be 📝 reported on the Beneficial Ownership Information Report (BOIR). For a Pitcher throwing the ball to an exact 🎯 spot is substantial control. What about for an LLC? There are  4️⃣ categories of substantial control according to the Feds ☝ Senior Officers This includes any of those 👔 “C” guys such CEO, CFO…. as well as general counsel. Even if someone performs the role of a senior officer without having the title they still will be considered to have substantial control. ✌ Important Decision Makers Anyone who has substantial influence over important decisions with regard to business, finances, or structure of the reporting company. This can even be  🖊️ Someone outside the company such as a lender who has a contractual right to make certain decisions.  🖊️ Or someone who has a majority voting rights and can affect the important decisions. 👌 Indirect Control 🖍️ Board of Directors 🖍️ Individual who can appoint or remove a majority of the board  🖍️ Individual who can appoint or remove a Senior Officer 🖍️ Trustee of a Trust that has substantial control And of course every pitcher needs a good Catcher and every Federal regulation needs a good “Catch All” So… 🖖 Any individual that has any other form of substantial control over the reporting company. I guess all of us are fair ⌖ game now! In 2019, Michael Menzies, CEO of the traffic control company Universal Group, sat down with his leadership team to create a mission statement and list of core values. Universal had grown quickly since its 2016 founding, and its other leaders thought the company’s culture needed stronger scaffolding. Menzies was initially reluctant. “Aside from the challenge of staying awake in these types of sessions, you usually come out with a convoluted mission statement and a five-year plan you never look at again,” he says. But thanks in part to a skilled facilitator, this time was different. The purpose that emerged was to “provide peace of mind to both our clients and team members,” with the core values of being “passionate, authentic and driven.” It sounds simple, but it’s actionable, and that’s the point. Now, no matter the decision or at what level it’s being made, Menzies asks his staff to act according to the company’s purpose.
