Dear General Counsel/Company Secretaries, In the intricate dance of legal leadership, one skill that stands out as a crucial lesson is the art of stakeholder management. With expertise in stakeholder management, you learn to achieve strategic alignment, Risk Mitigation, build alliances and balance conflicting interests of diverse stakeholders. Oftentimes, Company Secretaries only recognize the interests of the Board. This becomes problematic where the interest of the Board conflicts with that of other stakeholders like Management or Shareholders. For instance, in recent times, shareholders have been arms up against Boards pushing for virtual general meetings in the post covid era. Boards want virtual meetings since it is guaranteed to be more orderly. Shareholders want physical meetings to ensure the Board is more accountable and the meeting is not subject to the Board’s whims since the platforms to manage the meeting would be controlled by the Board. As expected, General Counsel/Company Secretaries have tilted towards the Board’s position. A savvier approach would be to weigh the position which bests benefits the Company and advise stakeholders accordingly. It is considered unadvisable to remain loyal only to the interests of one class of stakeholders. Today's legal landscape is a vibrant composition, and the melody of success lies in our ability to orchestrate seamless collaboration with diverse stakeholders. Agree?
