In 2020, WorldRemit acquired Sendwave (International Remittance) for $500 million. And Sid Sridhar, Head of Business at Sendwave at the time, helped make the deal happen. Here are 4 of his lessons from selling Sendwave for $500 million (and important pieces of advice for founders): 1/ Different deal, Different Impetus According to Sid, it is crucial to understand that each M&A deal has its unique impetus. A common mistake founders and operators make is approaching deals with preconceived notions about how they will unfold. The key takeaway is to avoid assuming a specific outcome and instead focus on thoroughly understanding the business model being developed. 2/ Build Relationships with Potential Buyers At Wave, Sid and his team identified potential buyers early and cultivated relationships with them discreetly. Founders often err by trying to sell their business outright, which can be time-consuming and costly due to legal fees and business distractions. His advice is to engage with investors and board members early on. Genuine interest and commitment can be judged by their speed of response and willingness to arrange meetings. 3/ Managing Asymmetric Information Another crucial consideration is the management of asymmetric information. During the early stages, it is important to strategically select who on the buyer’s team has access to sensitive information. Involving a board member not involved in the daily operations can also be beneficial, as they can offer valuable insights without being directly engaged in the process. 4/ Transparency Sid and his team chose to openly address potential challenges and red flags from the outset, aiming to avoid surprises later in the process. They were upfront about the fact that while things were generally positive, there were specific issues that required acknowledgement. This approach of honesty helped prevent any significant problems from arising unexpectedly after months of negotiation. For those of you who may not know me well, here’s a quick introduction… I have 26 years of experience leading operations for some of the most complex global payments organizations in the world. I’ve worked in PE backed companies, venture backed companies, public companies, and two Fortune 150s. I’ve helped lead teams as large as 13,000 people, representing a portfolio of 7,000 financial institutions across our global landscape. Each organization and each role I’ve held has given me a deeper understanding of the infrastructure and people underlying global payments that most people never get to see. So one day he says to me: “Patrick, Everyone is predicting the death of checks and I think that’s overblown (at least in the near to medium term). I believe this thesis so deeply, that I bought all these companies to optimize everything around checks so I can take it over for companies who no longer want to invest. I want you to take your past experience and build CheckAlt into, not only a company that is the best at checks, but the company that ultimately removes them.” Today, checks still make up 33% of B2B US payments and are astoundingly resilient - Shai was right about that. And, we’ve invested millions of dollars in a platform that not only takes on all the annoying check operations for several of the largest financial services companies in the world, but also implements new technologies to speed up money movement, remove paper from the system, and monetize the data. So that’s what I’m up to now. And I’m going to share a lot more about it.
