The Stamford Land case that recently came to light was interesting for me, because I sometimes apply for excess rights shares disproportionate to my holdings. SGX RegCo is right to insist the rule on directors and substantial shareholders ranking last in the allocation of excess rights shares be strictly followed, assuming other listing rules are not breached in the process. As transaction activity in the capital market increases, companies wishing to buy or sell publicly traded shares must comply with the interests of shareholders. These interests are protected by regulatory statutes and the specific procedure for purchasing and disposing of shares.   In 2023, COBALT assisted its clients in executing two significant transactions involving publicly traded shares: a voluntary and subsequent final share buyback, and the departure of a shareholder from a joint-stock company included in the regulated market, as part of the so-called management buyout. These transactions are subject to a series of special legal and regulatory requirements. These requirements, while making the transactions more complex, also provide a certain level of certainty and protection to the parties involved.
