Congratulations to Finance @ Adelaide Business School academic Alfred Yawson for the recent publication titled "Exploring the acquisition behavior of penny stock firms" in The British Accounting Review (ABDC: A*, ABS: 3, IF: 5.1). This is a collaborative effort with Shujie Liu, Mohammed Aminu Sualihu BBA (First Class Hons), MRes, PhD, CPA, FHEA, and Mingwei Sun. Refusing to join the bandwagon, the authors show that penny stock firms (i.e. firms that trade below US$5) are significant players in the market for corporate control. Specifically, they document that penny stock firms' acquisition likelihood increases with firm size, sales growth, free cash flow, stock price volatility, and run-up, but decreases with leverage, the number of years since IPO, and Tobin's Q. Penny stock acquirers prefer public targets and are more (less) likely to use stocks (cash) as the payment method. Strikingly, the authors also find that acquisition announcement returns are higher for penny stock firms than for non-penny stock firms, even after accounting for firm- and deal-characteristics. The increase in the announcement returns is mainly driven by the firms' improved information environment. Proxy advisor firm, IiAS (Institutional Investor Advisory Services), recommends and advises Raymond Ltd Independent Directors to intervene and consider temporary removal of Gautam Singhania during the course of investigation, appoint an interim CEO and to request promoters to step aside to protect the Company from its promoters. The market cap of Raymond stock has lost Rs 2,139 crores following serious allegations of physical assault and CEO excesses. This comes up after Mr Singhania reassured the Board and employees in a letter that he is fully committed to the smooth functioning of the company and continued to be the Chairman and MD. IiAS in its open letter addressed to the five independent directors - Mukeeta Jhaveri, Ashish Kapadia, Dinesh Lal, K Narsimha Murthy and Shiv Surinder Kumar stated their silence can be misconstrued and recommended that they should undertake an independent investigation into allegations.
