Will the presidential election impact your IPO timing?   Historically, in all markets there is a race to price an IPO prior to election day, a slight lull in November post-election and generally a pickup in December (depending on the results and confidence in the new Administration).   As the election approaches, executives leading IPO hopefuls may be wondering how the outcome could affect their plans for going public. While historical data suggests that elections typically don't materially alter IPO activity, certain sectors like Healthcare may experience fluctuations.    In 2024, we anticipate unique economic, political, and technological factors that could influence IPO sentiment more than in previous years. These include economic conditions, interest rate changes, consumer behavior shifts, political appointments, and the impact of AI technology to name a few.   Despite these complexities, our advice to aspiring public companies remains consistent: focus on fundamentals, long-term capital plans, sales and earnings growth and or accelerated development and execution, understanding investor demands, and ensuring financial statement integrity. We saved a client 100 of hours and lakhs of rupees by closing his company! Yes you heard it right! here's what happened! We had a company with 5 equity shareholders and 4 investors holding CCPS for 15 years. The twist? The investors were all non-residents and foreign companies. But here’s the challenge: Business was wrapped up, but there was a pile of cash left. The deal was to give this cash back to the preferred shareholders, not the equity ones. 📍 The Big Question: How do you do that fairly and legally? Here are 3 simple options we considered: Option 1: Shrink the Share Value ➡️ What? Drop the share value from ₹10 to ₹1 and give back ₹9 per share. ➡️ Why Good? No taxes for anyone because the company had losses. ➡️ Why Not? We’d have to close the company after 2 years with zero cash left. Option 2: Say Goodbye with Style ➡️ What? Voluntarily wind up the company through the court. ➡️ Why Good? It’s a clean exit. ➡️ Why Not? It’s pricier and takes longer than shrinking shares. Option 3: Buyback Bonanza ➡️ What? Buy back shares, then wind up. ➡️ Why Good? Faster since you don’t need the court’s nod. ➡️ Why Not? There’s a cap on buyback amounts, so investors can’t get it all at once. IPOs rarely flourish. Rejected by the smart money, the story goes, they must resort to begging at the public square. This is referred formally to as the pecking order theory. As a consequence of inherent inferiority businesswise, these firms in general underperform. In my estimation, this is indeed often the case, but there are important exceptions and crucial factors to consider here. Off the top of my head, I remember for instance a paper in the Journal of Business Finance & Accounting from back in 2006. https://lnkd.in/dfKgPAdP In it, they show that the amount of the issuers’ R&D activities significantly affect both initial underpricing and long-term performance. That is, when it comes to IPOs, companies engaging heavily in R&D are often initially undervalued yet subsequently high performing. This squares perfectly with my own observations and practices, and it is something I believe is worth keeping in mind.
