The acquisition of Sprit Aerosystems by Boeing is a lesson in corporate strategy. Spirit was a spinoff of Boeing in 2005, when the latter wanted to focus in final assembly and reduce costs. More than 60% of Spirit sales were to Boeing, which according to the transaction cost theory TCT (for which Oliver Williamson received the Nobel prize) reflected high asset specificity that would eventually lead to hold up problems, ie, the customer can exert a lot of power to the supplier to lower the price, which at the end will produce suboptimal outcomes. In this case, excessive pressure from Boeing led Spirit to cut corners in quality assurance, leading to the costly security issues that Boeing has had. I used this case in January to explain to my students when a company should source internally a given supply and when should it go to the market. One of my students asked me then “so how can Boeing solve this quality problem? My answer was that It had to vertically integrate and buy Spirit. A few weeks later Boeing announced its intentions to buy Spirit and now the deal is done. A careful analysis of Corporate strategy and specifically the TCT, would have prevented the spin off in 2005 in the first place and the company would have saved hundreds of millions in looses https://lnkd.in/dDeUNESm
