    MEMORANDUM OF AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS:

    This Agreement is made and executed by and between:

    ___________________________________, Philippines, herein referred to as the FIRST PARTY, and the spouses
    ________________________________ and ___________________________________, of legal age, Filipino Citizen and
    a resident of _____________________________________________________, Philippines, herein referred to as the
    SECOND PARTY.

    WITNESSETH, That:

    1. The FIRST PARTY sold to the SECOND PARTY, her undivided share of THREE HUNDRED
    THIRTY THREE (333) SQUARE METERS of that parcel of land covered under Transfer
    Certificate of Title No. __________________________________ for the price of FIVE MILLION THREE
    HUNDRED TWENTY EIGHT THOUSAND (PhP 5,328,000.00), PESOS, Philippine
    Currency.

    2. The SECOND PARTY is of the knowledge that The Heirs of _______________________ are claiming
    ownership over the parcel of land sold to them.

    3. The FIRST PARTY undertakes to reimburse the SECOND PARTY the FULL AMOUNT of the
    purchase price in the event that the Heirs of __________________________________ should
    successfully prove in a judicial proceeding their ownership over the said property and that the
    SECOND PARTY are ejected therefrom.

    4. The FIRST PARTY shall assist and help defend the SECOND PARTY from any intrusions and
    disturbances from any and all interlopers including the Heirs of ____________________________.

    IN WITNESS WHEREOF, the parties have hereunto set their hands this _________________ at
    La Trinidad, Benguet, Philippines.
