    TRIAL SOFTWARE LICENSE AGREEMENT

    This Trial Software License Agreement [System] is made effective as of [date] by and between

    TRANSNATIONAL MEDICAL AND DIAGNOSTIC CENTER, INC. (TMDC) with


    office address at 551 Cabildo St., Casa Marinero II Bldg. Intramuros Manila
    represented by its General Manager,

    and TRANSNATIONAL E-BUSINESS SOLUTIONS, INC. (TESI) with its principal


    office at 2nd Floor, Mary Bachrach Building, AC Delgado corner 25th Streets, Port
    Area, Manila, Philippines, and is hereby represented by its President and
    General Manager, Mr. RENATO VICENTE R. MARTINEZ

    This Trial License Agreement is entered into for the sole purpose of allowing TMDC to
    evaluate TESI’s software product (Dental System) and accompanying Documentation
    (collectively, the “Trial System”). TESI hereby grants to TMDC a non-exclusive, non-
    transferable, revocable license to use the Trial System, including any modified or
    enhanced versions thereof provided to TMDC by TESI, at no cost, for a [number] – day
    trial period beginning on [date] and ending on [date] (the “Trial Period”).

    1. Restriction

    TMDC may not: (a) use the Trial Version after the evaluation period of [number] days; (b)
    use the documents created with the Trial Version (except for test purpose or once a full
    version has been purchased); (c) sell this Trial Version package (except for shipment and
    handling charges); (d) cause or permit reverse engineering, disassembly, decompilation
    or alteration of this Software; (e) remove any product identification, copyright notices,
    or other notices or proprietary restrictions from this Software; (f) copy the
    documentation accompanying the software.

    2. Propriety Rights

    TMDC acknowledges that TESI retains all right, title, and interest in the Trial System and
    in all copies thereof, and no title to the Trial System, or any intellectual property or
    other rights therein, are transferred to License by virtue of this Trial License Agreement
    other than as specified herein. TMDC shall not without the express prior written consent
    of TESI duplicate, copy or reproduce the Trial System except for use on a single
    computer. In the event TESI authorizes TMDC to make copies of the Trial System, TMDC
    shall reproduce TESI’s copyright and other proprietary rights notices or legends on all
    copies thereof. TMDC agrees not to cause or permit the reverse engineering, reverse
    assembly or reverse compilation of the Licensor Software, or otherwise attempt to
    derive source code from the Licensor Software.

    3. Return of Trial System

    Within [number] business days of the end of the Trial Period TMDC shall return to TESI
    all Licensor Software and Documentation included in the Trial System (or, at Licensor’s
    sole discretion, destroy all such Software and Documentation and certify in writing to
    Licensor that said Licensor Software and Documentation have been destroyed.)

    4. Term

    This License is effective until terminated. You may terminate it at any time by destroying
    the Trial Version, together with all copies thereof. This License will also terminate if you
    fail to comply with any term or condition of this Agreement. Upon such termination, you
    agree to destroy the Trial Version, together with all copies thereof.
