    KNOW ALL MEN BY THIS PRESENTS:

    This instrument made and entered into by and between

    WHEREAS, the DEBTOR-VENDOR has an outstanding obligation with the CREDITOR-


    VENDEE in the total amount of SIX MILLION NINE HUNDRED SIXTY EIGHT THOUSAND FOUR
    HUNDRED SEVENTY SIX & 23/100 (P 6,968,476.23).

    WHEREAS, as full payment of said obligation, DEBTOR-VENDOR has offered to SELL,


    TRANSFER and CONVEY the afore described real property including the improvements
    thereon to CREDITOR-VENDEE by way of DACION EN PAGO and the latter accepts the sale,
    transfer, and conveyance in full payment of obligation by way of DACION EN PAGO.

    NOW THEREFORE, for and in consideration of the sum of SIX MILLION NINE HUNDRED
    SIXTY EIGHT THOUSAND FOUR HUNDRED SEVENTY SIX & 23/100 (P 6,968,476.23). Philippine
    Currency DEBTOR-VENDOR hereby SELL, TRANSFER and CONVEY in a manner of Absolute and
    Irrevocable unto CREDITOR-VENDEE, its successors, assigns the afore-described parcel of land
    by way of DACION EN PAGO as full payment of the said obligation of the DEBTOR-VENDOR.
