    Appointment of Mr.Sumant K athpalia as 'Additional Director’ designated as 'Managing
    Director & CEO’
    In compliance with Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements)
    Regulations, 2015, the Bank had on February 27, 2020, informed the Stock Exchanges of having
    received approval of RBI under Section 35B of the Banking Regulation Act, 1949 for the appointment of
    Mr. Sumant Kathpalia as Managing Director & CEO with effect from March 24, 2020, for a period of
    three years.

    The Board of Directors have today noted that Mr. Romesh Sobti’s tenure as 'Managing Director & CEO'
    of the Bank, would conclude as at the close of today, and that Mr. Sumant Kathpalia
    (DIN 01054434) would take charge from tomorrow as ‘Additional Director’, designated as
    ‘Managing Director & CEO’ of the Bank for a period of three years, with effect from March 24, 2020.

    Mr. Sumant Kathpalia’s appointment as Managing Director & CEO, shall be placed for approval of
    the shareholders at the ensuing Annual General Meeting.

    Brief Profile of Mr. Sumant Kathpalia is annexed.

    None of the Directors or Key Managerial Personnel of the Bank or their relatives are in any way
    concerned or interested, financially or otherwise.

    In accordance with SEBI instructions of June 14, 2018 to the Stock Exchanges, we affirm that
    Mr. Sumant Kathpalia is not debarred from holding office of the Managing Director & CEO by virtue of
    any Order of SEBI or of any other Authority.

    stint as Head – Consumer Banking in IndusInd Bank Ltd.
    Mr. Kathpalia has successfully held several leadership roles over his career, with a focus
    on driving business growth and innovation. He has experience across diverse functions,
    including Business Strategy, Sales & Distribution, Operations, Systems, Risk & Credit
    Management, and Financial Management.
