    Annex “E”

    MEMORANDUM OF AGREEMENT

    BE IT KNOWN TO ALL MEN THAT:

    Dr. Felipe C. Roque, of legal age, Filipino, married, Filipino, and with residence and
    postal address at 1667 K Street NW, Don Antonio Heights, Quezon City, hereinafter
    referred to as the FIRST PARTY.

    -AND-

    Shopper’s Paradise Realty & Development Corporation, a juridical entity under


    the laws of the Republic of the Philippines, with principal address at Nova Plaza Mall,
    Quirino Highway, represented herein by its duly authorized President, Veredigno Atienza,
    hereinafter referred to as SECOND PARTY.

    WITNESSETH;

    WHEREAS, the FIRST PARTY is the registered owner of a parcel of land, with an
    approximate area of Two Thousand Thirty Six (2,036) sq.m. more or less, situated at
    Plaza Novaliches, Quezon City, covered by Transfer Certificate of Title No. 30591 of the
    Registry of Deeds for the City of Quezon, a copy of which is attached herewith as Annex
    "A" (hereinafter the "Leased Premises");

    NOW, THEREFOR, for and in consideration of the foregoing premises and the terms
    and conditions herein set forth, the parties hereby agree and bind as follows:

    1. That the SECOND PARTY shall construct, develop and operate a commercial
    building complex on the herein property of the FIRST PARTY.

    2. Upon signing of this agreement, the SECOND PARTY shall pay as down payment
    the amount of TWO HUNDRED FIFTY THOUSAND (PHP250,000.00) to the FIRST
    PARTY.

    3. The FIRST PARTY, upon signing of this agreement, is given 60 days to cause the
    necessary annotations on this MEMORANDUM OF AGREEMENT on TCT No. 30591.

    WITNESS WHEREOF, I have hereunto set my hand this _____________________

    above-stated parties known to me to be the same persons who executed the foregoing
    MEMORANDUM OF AGREEMENT, and they acknowledged to me that the same is
    their free act and deed.

    This instrument consisting of two (2) pages, including the page on which this
    acknowledgment is written, has been signed on the left margin of each and every page
    thereof by the parties and their witnesses, and sealed with my notarial seal.

    IN WITNESS WHEREOF, I have hereunto set my hand and affixed my notarial seal,
    on the day, year, and place above written.
