FREELANCE AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Freelance Agreement entered into in Pasig City, Metro Manila on

_______________ by and between:
MINIONSOLUTIONS, INC., a corporation duly organized and existing under

the Philippine Laws with office address 9 th Floor Jollibee Centre, San Miguel
Avenue, Ortigas Center, Pasig City, represented herein by its
PRESIDENT, MR. RAMON BENJAMIN G. ROXAS, hereinafter referred to as
the “THE COMPANY”;
- and -
HORACIO MARTINEZ, of legal age, Filipino, with postal address at 5-B D.

Santiago St. Santolan, Pasig City, hereinafter referred to as “Mr. Martinez”.
WITNESSETH:
WHEREAS, the Company executed a Freelance Contract with Mr. Martinez

engaging him as a Freelance;
WHEREFORE, the parties hereto have agreed to the following terms and
conditions:
I. SCOPE OF SERVICES
Mr. Martinez shall perform the following services:
 Utilize all means in searching candidates for employment.

 Will send candidates’ profiles based on the demands of
MINIONSOLUTIONS Inc.
 Conduct the following activities during endorsement;
o Submit short – listed resumes to MINIONSOLUTIONS Inc. for initial
screening.
o Interview and evaluate candidate prior to endorsement to
MINIONSOLUTIONS Inc.
II. PLACE OF WORK AND WORK HOURS

Mr. Martinez shall render work outside the premises of the principal office of
MINIONSOLUTIONS at such time as may be necessary for the efficient and effective
completion of the project.
In exchange, Mr. Martinez undertakes that he will exert all efforts to deliver the
best results of the project at the soonest possible time but on or before the deadline of
submission of the list of candidates.
III. COMMISSION
It is understood that Mr. Martinez is not an employee of MINIONSOLUTIONS

and shall not be compensated with any other benefits except that he shall be paid a one-
time commission based on the Guaranteed Monthly Salary signed by the candidate.

N.B. The minimum number of hired candidates per month should not
be lower than ___________ and may be increased anytime as the need arises.

IV. TERMINATION
1. Should Mr. Martinez decide to terminate his engagement with the Company for
whatever reason, he shall serve a written notice thereof to the Company 15 days
prior to the effectivity of the termination.
2. In the event of any termination of the agreement, Mr. Martinez shall not be
engaged, directly or indirectly, by any of the Company’s client company/ies and
such other clients that the Company is directly engaged with or indirectly
through a third party for a period of one (1) year, unless there is a written
consent from the management of the Company.
3. It is understood that violation of this provision shall hold Mr. Martinez liable for
a penalty equivalent to P50, 000 (Fifty Thousand Pesos).
V. CONFIDENTIALITY
During the term of this Agreement and for a period of one (1) year after its
termination, Mr. Martinez shall not disclose or divulge any “Confidential Information”
pertaining to or obtained from the Company to any person or entity, nor use the said
“Confidential Information” for any purpose or reason other than for the benefit of the
Company.
For purposes of this Agreement, “Confidential Information” shall mean (but not
limited to) any information regarding the Company’s business methods, policies,
procedures, techniques, research or development projects or results, sales information
of any kind, financial information of any kind, trade secrets or other knowledge or
information possessed by the Company which is not generally known by individuals
outside of the Company (including the Company’s employees or consultants).
Confidential Information shall likewise refer to:
(a) Customer list and customer information;

(b) Sales strategy and methods;
(c) Information pertaining to services or products under development;
(d) Internal reports of any kind; and
(e) All marketing strategies for site.
Violation of any of these provisions shall hold Mr. Martinez liable to the same
penalty as provided in Section VI hereof plus whatever legal recourse the Company
chooses to pursue.
VI. RETURN OF COMPANY PROPERTY

Whenever requested by the Company or upon the termination of this Agreement
or employment, Mr. Martinez shall promptly return to the Company all company
property, if any, in his possession, custody or control, such as, but not limited to,
manuals, records, training materials, and other materials from which Confidential
Information (as defined in Section VII hereof) were obtained, as well as any equipment,
if any, given or entrusted to him for use in the performance of his duties.
VII. NOTICE
The notice required in this Agreement shall be in writing and shall be deemed
sufficient if delivered personally or sent by registered mail to the address on record of
the parties as stated in this Agreement. If notice is sent through registered mail, it shall
be deemed to have been received on the seventh (7 th) day of uninterrupted postal
service following the date of mailing.
VIII. SOLE AGREEMENT
This Agreement, including the Appendix thereto, if any, shall constitute the
entire agreement of the parties and may not be modified, superseded or voided without
any written agreement between the parties. All other prior agreements and covenants,
express or implied, oral or written, with respect to the subject matter hereof, are
superseded by this Contract.
IX. INTERPRETATION
The provisions of this Agreement shall be construed in such manner as is most

beneficial to both parties as may be provided or allowed by Philippine laws.
X. SEVERABILITY
In the event that any provision of this contract shall be deemed void, voidable or
unenforceable, it shall be severed from the remainder of this Agreement and all
remaining provisions shall continue to be in full force and effect.

This instrument refers to a FREELANCE AGREEMENT which consists of six (6) pages,
