    ISSUE: matter jurisdiction in the suit between P and D?

    Give main parts of the rule. Do not give every bit of law
    OVERALL here; instead provide additional law when you get the
    RULE: relevant sub-issues. If rule presents multiple issues,
    break down issues into separate analysis.
