(a) if the Engineer fails to certify in accordance with sub-Clause 14.6 (Issue of Interim
Payment Certificates).
Sub-Clause 14.6 sets out the complex arrangements for certification which are the prerequisite
for the Employer’s obligation to pay. The process is described in the commentary on Sub-Clause
14.6. As can be seen there is plenty of scope for the Engineer to delay issue of Interim Payment
Certificates without failing to follow the contractual procedures. The question therefore is –
what is the Contractor’s position if the Engineer fails for good reason or, at least for an arguable
reason, to issue the IPC? The right to suspend arises if the Engineer simply “fails” to issue the
IPC so it may be arguable that any failure to issue an IPC entitles the Contractor to give notice of
suspension. It would be a brave Contractor who proceeded on this basis – because failure of the
Contractor to proceed with the Works is a ground for Employer termination
(b) If the Employer fails to comply with Sub-Clause 2.4 [Employer’s Financial
Arrangements]
As noted under Sub-Clause 2.4, there is no limit to the number of requests that a Contractor can
make under this provision, nor need the Contractor be reasonable in making his requests. A
Contractor who wishes to irritate the Employer is given a very good opportunity to do so –
because the Employer dare not ignore such requests for fear of giving the Contractor the right to
suspend or reduce the rate of work.
Sub-Clause 2.4, moreover, contains two Employer obligations; the first is to provide reasonable
evidence that financial arrangements have been made and are being maintained that will enable

the Employer to pay the Contract Price; the second is to give detailed particulars to the
Contractor if he intends to make any material change to his financial arrangements. The
consequences of the Employer being in breach of the first provision are clear; although what
amounts to reasonable evidence is a matter of fact.3 They are not so clear in respect of the
second. If, for example, the Employer has at some stage in the Contract formed an intention to
make a material change to his financial circumstances but has failed to notify the Contractor and
has then gone ahead with the change, it will be impossible for him to remedy the breach – he can
no longer give notice once the material change has taken place. So long as the new financial
arrangements enable him to meet his financial obligations under the Contract he will have no
difficulty complying with a Contractor’s notice under Sub-Clause 2.4 but he still cannot give the
notice required of his intention to change.
It is unclear whether Sub-Clause 16.1 is intended to deal with this situation as it provides that
any notice of suspension or intention to reduce work is conditional on the Employer providing
reasonable evidence under Sub-Clause 2.4. In the situation described above the Employer can
never provide “reasonable evidence”. Does this mean that the Contractor has no right to suspend
or that the Employer can do nothing to prevent him having the right to suspend? The Sub-Clause
provides no clear answer.
(c) The Employer fails to comply with Sub-Clause 14.7 (Payment).
Sub-Clause 14.7 obliges the Employer to make payments 28 days (in the case of the advance
payment) or 56 days after the Engineer receives the Statement and supporting documents.
As explained in the discussion of Sub-Clause 14.7 this sub-clause can, potentially, prove to be
unfair to the Employer. Under Sub-Clause 14.7, the amount the Employer is obliged to pay is
that certified in the Interim or Final Payment Certificate but he is obliged to make that payment
56 days after the Engineer receives the Statement and supporting documents. In circumstances
where the Statement and supporting documents contain errors, which the Engineer asks the
Contractor to correct before issuing the Interim Payment Certificate, the Employer’s obligation
to pay, and the Contractor’s right to suspend, can come into effect before the Interim Payment
Certificate can be issued. If the statement is correctly completed and there is no problem with
the supporting documents but the Engineer has not certified within 56 days of receipt of the
Statement and supporting documents then, in order to avoid the Contractor taking advantage of
the right to suspend where the Engineer has still failed to certify correctly the Employer will
need to pay the full amount claimed by the Contractor in the statement. Any overpayment can be
recovered in the next interim payment.
The Notice of Suspension or Reduction of Rate of Work:
The notice under Sub-Clause 16.1 is a clear condition precedent to the Contractor’s right to
suspend. The Contractor has no right to use a breach by the Employer which might otherwise

give rise to a right to suspend as an excuse for suspending or slowing progress unless he has
given notice as required
There is no special form required for the notice.
However, it must:
• Be addressed to the Employer
• State whether it is intended to suspend or to reduce
the rate of work
• Describe the basis for the intended suspension or
reduction of the rate of work
• State specifically what the Contractor needs to have
or to see before he resumes work
• Give not less than 21 days’ notice
Consequences of Notice:
In order to claim an extension of time, cost or profit the Contractor must give notice under Sub-
Clause 20.1. The time when the Contractor became aware or should have become aware of the
event or circumstance will be when the suspension or reduction in work rate period commences.
The Contractor should not be required to give notice earlier because, although he will be aware
as soon as the circumstances which give him the right to give notice under Sub-Clause 16.1 that
he might become entitled to suspend or reduce the rate of work, he cannot be certain that such a
right has come into existence until the Employer has failed to comply with the notice.

3.2. [16.2] Termination by the Contractor
It deals with the Termination by the Contractor. There are seven conditions specified. In most
cases the Contractor may give 14 days’ notice if it intends to terminate the contract; however,
where there has been a prolonged suspension under Sub-Clause 8.11 [Prolonged Suspension] or,
inter alia, bankruptcy, liquidation, insolvency or receiving or administration orders have been
made against the Employer then the Contractor may by notice terminate immediately.
When the Contractor exercises its rights under this Sub-Clause it can expect to have to justify its
position at least before a DAB and probably in arbitration. A ground for termination which may
seem clear at the time notice is given may seem not so clear once the whole situation has been
considered in the greatest detail by a tribunal, following detailed work by lawyers for both sides.
Contractors need to be cautious when using their rights to terminate. Even though there may be a
fundamental ground for terminating it is good tactics, and reduces the risk of the process, for the
Contractor to identify as many grounds as possible under the terms of Clause 16.2.
Note: force majeure means exceptional condition or event; which does not substantial on any
other party; or due to other party and events that cannot be avoided or provide against in the
contract,has taken place; the Contractor shall promptly:
1. cease all further work, except for such work as may have been instructed by the Engineer
for the protection of life or property or for the safety of the Works,
2. hand over Contractor’s Documents, Plant, Materials and other work, for which the
Contractor has received payment,
The term “Contractor’s Documents” is defined in Sub-Clause 1.1.6.1 to include the documents
of a technical nature (including computer programs and software and models) supplied by the
Contractor under the Contract. The cost of these is unlikely to be separately mentioned in the
payment provisions of the Contract – if the contract has Bills of Quantity, payment for them may
be included in the Preliminaries, in which case it will still be hard to tell whether they are paid
for. More likely there will be a provision that the cost of such items is included in the rates or
prices for physical items of work. The Contractor will probably expect to recover the cost of
these items over the term of the contract within the rates or prices for other items. Thus, where
there is a premature end to the Contract it will be arguable whether they have been paid for.

It is not clear what is intended by the expression “other work”. It could easily include Temporary
Works, (defined in Sub-Clause 1.1.5.7), which are not normally specifically paid for but whose
cost is included in the rates or prices for the Permanent Works.
However, if the issue of what the Contractor is required to hand over cause’s arguments because
of the above issues then this ought ultimately to be capable of being resolved under Sub-Clause
16.4 or Sub-Clause 19.6 which deal with payment on termination. However, these provisions by
no means deal with all payment obligations following a termination which is not the Contractor’s
fault.

Under Sub-Clause 16.3(c) the Contractor is required to remove all other Goods from the Site,
except as necessary for safety, and leave the Site. If the termination is disputed, the Employer
may seek to prevent the Contractor from removing its equipment. In such a case the Contractor’s
claim against the Employer would be one in tort for trespass to goods. The tribunal held that the
FIDIC dispute resolution provisions were sufficiently wide enough to allow them to resolve the
tort claim, applying English law.
2. Pay the Contractor according to sub-clause 19.6 (Optional Termination, Payment and
release).
(i) Under Sub-Clause 16.3(b) the Contractor will have handed over only the items for
which he has received payment.
(ii) under Sub-Clause 19.6(a) he is entitled to be paid for work done.
(iii)under Sub-Clause 19.6(b) to be paid for Plant and Materials ordered for the Works.
Therefore, He is then required to hand over anything paid for by the Employer.
(i) under Sub-Clause 16.3, the Contractor will be required to take away certain Plant and
Materials except as necessary for safety.
(ii) under Sub-Clause 19.3, but he will be entitled to be paid for them and required to
return them. (Duty to minimize delay)
(iii)under Sub-Clause 16.3, Employers should therefore not assume that because the
Contractor has removed any Goods from the Site, as required, they will not be
obliged to pay for them.

3. Pay to the contractor the amount of any loss profit or other loss or damage sustained by
the contractor as a result of this termination.
(i) It contrasts with a termination under Sub-Clauses 15.5 and 19.6 under which only
cost is paid.
This is a practical strategy is recognized in the MDB harmonized edition which expressly
forbids termination under Sub-Clause 15.5, (Employer’s Entitlement to Termination) for
this reason and which also requires an Employer who terminates under Sub-Clause 15.5,
(Employer’s Entitlement to Termination) to pay the Contractor in accordance with Sub-
Clause 16.4 (c).

( )13.5المبالغ المؤقتة
إن المبالغ المؤقتة عموما ً عبارة عن عالوة أو تقدير (كثيرا ً ما توصف بأنها "أفضل تخمين") يتم تضمينه في السعر التعاقدي
لعقد البناء ألعمال
يجب استخدام كل مبلغ ضمن تعليمات المهندس ويتم تعديل سعر المقاول وفقًا لذلك .يجب أن يشمل المبلغ اإلجمالي المدفوع
للمقاول فقط هذه المبالغ لألعمال أو التوريدات أو الخدمات التي يتعلق بها المبلغ

وكما لوحظ في البند الفرعي ،4-2ال يوجد حد لعدد الطلبات التي يمكن للمتعاقد أن يقدمها بموجب هذا الحكم ،وال حاجة للمتعاقد
إلى أن يكون معقوال في تقديم طلباته .ويُعطى المتعاقد الذي يرغب في إزعاج صاحب العمل فرصة جيدة جدا للقيام بذلك -ألن
صاحب العمل ال يجرؤ على تجاهل هذه الطلبات خشية إعطاء المتعاقد الحق في تعليق أو خفض معدل العمل

إشعار قبل 21يو ًما على األقل -عواقب اإلشعار
يحق للمتعاقد ،لدى انتهاء مدة اإلشعار ،تعليق العمل أو تخفيض معدل العمل على النحو المحدد في اإلشعار.
وبمجرد االمتثال لإلشعار للمتعاقد يصبح من المطلوب منه استئناف العمل "في أقرب وقت ممكن عمليا ً إلى حد معقول" .ويتوقف
طول المدة التي سيستغرقها هذا األمر على الظروف المحيطة ــ مدى تعليق العمل أو تقليله ،والوقت الذي استغرقه ،واللوجستيات
الالزمة الستئناف العمل وأي ظروف حدثت في غضون ذلك.
يجب متابعة العناية باألشغال أثناء التعليق
وبموجب البند 2-17يتحمل المتعاقد المسؤو لية الكاملة عن رعاية األشغال من تاريخ البدء حتى إصدار شهادة تسلم .وخالل هذه
الفترة يكون المتعاقد مسؤوال عن تصحيح أي خسارة أو ضرر على نفقته الخاصة( .انظر التعليق على تأثير الفقرة 17.2على
التزامات المتعاقد بموجب الفقرة [ 19.2القوة القاهرة]) .والنتيجة هي أن التعليق بموجب البند ،1-16ال يعطي المتعاقد الحق في
التخلي عن الموقع .والواقع أن عدم االهتمام باألشغال خالل فترة تعليق مبررة قد يعطي صاحب العمل الحق في إنهاء العمل
بموجب البند الفرعي .2-15
اإلخطار بالمطالبة
ولكي يطالب المتعاقد بتمديد الوقت أو التكلفة أو الربح ،يجب عليه أن يقدم إخطارا بموجب البند الفرعي .1-20يكون الوقت الذي
يصبح فيه المتعاقد على علم أو كان ينبغي أن يصبح على علم بالحدث أو الظروف هو الوقت الذي يبدأ فيه تعليق أو تخفيض فترة
معدل العمل .ال ينبغي أن يطلب من المتعاقد أن يقدم إخطارا في وقت سابق ألنه ،على الرغم من أنه سيكون على علم بالظروف
التي تمنحه الحق في تقديم إشعار بموجب البند الفرعي ،1-16بأنه قد يصبح له الحق في تعليق أو تخفيض معدل العمل ،وال
يستطيع أن يكون على يقين من أن هذا الحق قد أصبح قائما إلى أن يفشل صاحب العمل في االمتثال لإلشعار

( )16.2إنهاء العقد من قبل المقاول:
يتناول إنهاء العقد من قِبل المقاول .هناك سبعة شروط محددة ،وفي أغلب الحاالت قد يقدم المقاول إشعارا مدته 14يوما إذا كان
ينوي إنهاء العقد؛ بيد أنه حيثما كان هناك تعليق مطول بموجب البند الفرعي [ 8.11تعليق طويل األمد] أو حاالت اإلفالس أو
التصفية أو اإلعسار أو تلقي أوامر من اإلدارة ضد صاحب العمل ،يجوز للمقاول عندئذ أن ينهي العقد فورا بدون أي ابالغ مسبق
للمالك أو المهندس.
عندما يمارس المقاول حقوقه بموجب هذا البند الفرعي ،فإنه يتوقع منه أن يبرر موقفه على األقل قبل التحكيم .وقد يبدو أن
االساس الذي يمكن أن يبدو واضحا في وقت تقديم االشعار او التقاضي ،عند االنهاء قد ال يكون واضحا او كافيا إلى هذا الحد
ما أن يتم النظر في الحالة برمتها بصورة أوسع واشمل من قبل محكمة ،بعد عمل مفصل من قبل المحامين لكال الجانبين .وينبغي
للمتعاقدين أن يتوخوا الحذر عند استخدام حقوقهم في اإلنهاء .وعلى الرغم من أنه قد يكون هناك سبب أساسي النهاء هذا العقد ،
لكن من األفضل اتخاذ تكتيكات جيدة ،ويقلل من خطر العملية والفشل فيها ،لذلك من األفضل للمقاول أن يحدد أكبر عدد ممكن
من االسباب بموجب أحكام البند .16.2
بعد إشعار بإنهاء الخدمة بموجب البند الفرعي 5-15الذي ينص على أن صاحب العمل يخول ويقرر وقت إنهاء الخدمة ويخطر
المتعاقد بالتاريخ في غضون 28يوما .والبند الفرعى ( 16.2اإلنهاء من قبل المقاول) والبند الفرعى ( 6-19اإلنهاء االختيارى
والدفع واالفراج) الذى ينص على انه اذا ما تم منع االعمال الجارية لفترة مستمرة مدتها 84يوما بسبب القوة القاهرة او
لفترات متعددة تتجاوز 140يوما .ثم يجوز ألي من الطرفين أن يقدم إشعارا بإنهاء العقد .وفي هذه الحالة يصبح االنهاء نافذا
بعد 7أيام من تقديم االشعار.
مالحظة :القوة القاهرة تعني حالة أو حدث استثنائي؛ وال يمثل ذلك أي حالة جوهرية بالنسبة ألي طرف آخر؛ أو بسبب طرف
أو أحداث أخرى ال يمكن تجنبها أو النص عليها في العقد.
قد حدث؛ يقوم المتعاقد على الفور بما يلي:
(أ) وقف جميع االعمال االخرى ،باستثناء االعمال التي قد يكون قد أوعز بها المهندس لحماية الحياة أو الممتلكات أو
لسالمة االشغال،
(ب) تسليم مستندات المتعاقد ،ومزايده ،ومواد وأعماله االخرى ،التي تلقى المتعاقد بشأنها مدفوعات،
وقد تم تعريف مصطلح "مستندات المتعاقد" في الفقرة الفرعية 1-6-1-1ليتضمن المستندات ذات الطبيعة الفنية (بما في ذلك
برامج الحاسوب وبرامجه والنماذج) التي يقدمها المتعاقد بموجب العقد .ومن غير المرجح أن تذكر تكلفة هذه البنود بشكل
منفصل في أحكام الدفع الواردة في العقد -إذا كان العقد يتضمن فواتير بالكمية ،فقد يتم إدراج المدفوعات عنها في مذ ّكرات
بريليميناز ،وفي هذه الحالة سيكون من الصعب معرفة ما إذا كانت هذه المبالغ قد دفعت .ومن المرجح أن يكون هناك حكم ينص
على أن تكاليف هذه البنود مدرجة في أسعار أو أسعار بنود العمل المادية .وربما يتوقع المتعاقد أن يسترد تكاليف هذه البنود
خالل مدة العقد في حدود أسعار أو أسعار بنود أخرى .وبالتالي،ففي الحاالت التي يكون فيها العقد قد انتهى قبل أوانه ،سيكون
من الممكن أن نقول ما إذا كان قد تم دفع ثمنه.
وليس من الواضح ما المقصود بعبارة "عمل آخر ".ويمكن أن تشمل بسهولة األشغال المؤقتة (المحددة في البند الفرعي -1-1
7-5والتي ال تدفع عادة ثمنها على وجه التحديد ،ولكنها تدرج تكلفتها في أسعار أو أسعار األشغال الدائمة.
ولكن إذا كانت مسألة ما يتعين على المتعاقد أن يسند الحجج التي يسوقها بسبب المسائل المذكورة أعاله ،فإن ذلك ينبغي أن
يكون في نهاية المطاف قادراً على الحل بموجب البند الفرعي ،4-16أو البند الفرعي ،6-19الذي يتناول الدفع عند اإلنهاء .بيد
أن هذه األحكام ال تتناول بأي حال من األحوال جميع التزامات الدفع بعد إنهاء العقد الذي ال يكون خطأ المتعاقد.
( .ج) إزالة كافة البضائع األخرى من الموقع ،باستثناء ما يلزم لضمان السالمة ،ومغادرة الموقع

بموجب البند الفرعي (16.3ج) ،يتعين على المتعاقد أن يزيل جميع البضائع األخرى من الموقع ،باستثناء ما يلزم للسالمة ،وأن
وفي .وفي حالة االعتراض على إنهاء العقد ،يجوز لصاحب العمل أن يسعى إلى منع المتعاقد من إزالة معداته .يغادر الموقع
وكانت المحكمة قد رأت أن أحكام .مثل هذه الحالة فإن مطالبة المتعاقد ضد صاحب العمل كانت بمثابة ضرر لتعدي على السلع
تسوية المنازعات في مؤسسة الخليج لالستثمار واسعة بما فيه الكفاية بحيث تسمح لها بتسوية دعوى الضرر ،مع تطبيق القانون
اإلنكليزي.
بموجب البند الفرعي (16.3ب) ,لن يسلم المتعاقد إال البنود التي تلقى دفعة بشأنها.
بموجب البند الفرعي ( 19-6أ) ,يحق له أن يتقاضى أجراً عن العمل المنجز
بموجب البند الفرعي (19.6ب) ,يتم دفع ثمن المصنع والمواد المطلوبة لألشغال.
وبالتالي ،يُطلب منه تسليم أي شيء يدفعه صاحب العمل.
بموجب البند الفرعي ،16.3سيُطلب من المتعاقد إبعاد معدات ومواد معينة باستثناء ما يلزم للسالمة.
بموجب البند الفرعي ،19.3سيحق له الحصول على أموال مقابلها اذا طلب منه إعادتها( .واجب تقليل التأخير)
نظرا ألن المقاول قد أزال أي سلع من
بموجب البند الفرعي ، 16.3يجب على أصحاب العمل عدم افتراض ذلك ً
الموقع لن يكونوا ملزمين بالدفع لها ،كما هو مطلوب.
ج) دفع للمقاول مبلغ أي خسارة ربح أو خسارة أو ضرر آخر يتكبده المقاول نتيجة لهذا اإلنهاء.
هذا يتعارض مع اإلنهاء بموجب البندين الفرعيين 15.5و 19.6حيث يتم دفع التكلفة فقط.
من وجهة نظر صاحب العمل ،يتم اإلنهاء بموجب:
إذا أدرك صاحب العمل أن المقاول ينوي اإلنهاء ووجدت أسباب وجيهة إلنهاء المقاول بموجب الفقرة الفرعية
( ،16.2اإلنهاء من قبل المقاول)
لذلك ،قد يوفر صاحب العمل نفقات كبيرة عن طريق اإلنهاء بموجب البند الفرعي ( ، 15.5استحقاق
صاحب العمل لإلنهاء)
هذه استراتيجية عملية معترف بها في اإلصدار المنسق لبنك التنمية المتعدد األطراف والذي يحظر صراحة
اإلنهاء بموجب الفقرة الفرعية ( ، 15.5حق صاحب العمل في اإلنهاء) لهذا السبب ويتطلب أيضًا صاحب
العمل الذي ينتهي بموجب الفقرة الفرعية ( ، 15.5استحقاق صاحب العمل اإلنهاء) للدفع للمقاول وفقًا للبند
الفرعي ( 16.4ج)
