MEMORANDUM OF UNDERSTANDING

This Memorandum of understanding “MOU” is made and entered into


as of 6th December 2021

BETWEEN – Antivenin Research Labs a company organized and existing


under the laws of Kenya; Registration of Business Names CAP. 499
(Copy attached)

AND - Kenya Snakebite Research & Intervention Centre, a research


and intervention Institution established under the xxxxx Act under the
Laws of Kenya Ololua Forest P.O Box xxxxxxxxxxx

PURPOSE AND SCOPE

The purpose of this MOU is to clearly identify the roles and


responsibilities of each party as they relate to

1. Analysis of (a) SBE ELixa Polyvalent anti-venom (b) SB Supervalent


Anti-venom.

2. Submission of the findings to Kenya Medical Research Institute


and any other institution that we have standing and future
agreements

BACKGROUND

Patrick Musilu, An Analyst and shareholder of Antivenin Research Labs


(ARL) was the first to contact Dr.George Oluoch of KSRIC on Oct 29,
2020, 5:05 PM by an email. Through the letter, we sought partnerships
in the distribution/clinical trials of a venom based anti-venom of
indigenous origin. Sure of the efficacy of our antivenin, we little knew of
the regulations that govern the sale of drugs but have since evolved.
Since October 29th 2020, we have sent a total of 9 emails some which
include the full of our we make the antivenom. We have sent emails of
copies of emails other institutions on issues regarding SBE ELixa, latest
which was to Kenya Wildlife Services.

In our conversation with Dr. Oluoch on the 26th November 2021, We


discussed;

1.SBE ELixa is a departure from Albert Calmette paradigm of


vaccines being the only cure to envenoming. Our theory that Venom is
not poison when swallowed but a digestible protein. The antidote
effectively stops SBE from multiple species of snakes.

2. Permission/Letter of No Objection to our use of Venom. Venom is


a wildlife resources

3. We submitted samples of of the compound in a bottle Dr. Oluoch


for commencement of an ELISA test

4. The payment of Kshs.100,000 to cover material cost of the


experiments by Antivenin Research Labs to KSRIC upon submission of
the results to Kenya Medical Research Institute

Responsibilities under this MOU

1. Provision of samples of SBE ELixa. Time Tag 12 Hours


2. Procuring volunteers for clinical trials. Time tag 72 Hours
3. Procuring casualties whose lives were saved by SBE ELixa Time tag
72 Hours
4. Liaise with KEMRI for possible incubation of the project
commercialization and launch Time tag 72 Hours

1. Conducting ELISA test on SBE ELIxa compound Time Tag ----Hrs


2. Supply of fresh venom for Black Mamba and Cobra ------Hrs
