(1) BASE COMPENSATION PAYMENTS includes base compensation, workers compensation and long-term disability payments. Amounts disclosed represent actual base compensation received during the reporting year. If disclosed base compensation is below $125,000, one, or more, of the following explanations apply: a) employee was employed for a
portion of the year and their base salary exceeds $125,000 (this includes employees that were hired, retired, or ceased employment during the current year); b) the employee received a rate/job change during the current year that caused their end of year base salary to exceed $125,000; c) the employee is a part-time employee whose annualized salary exceeds
$125,000; d) the employee is an hourly employee whose annualized salary exceeds $125,000; and/or e) the employee was on a leave of absence and their base salary prior to going on a leave of absence exceeded $125,000. Additionally, if an employee with base compensation that exceeded $125,000 ceased employment on 12/31 of the prior year, but
received final payments, including, but not limited to, incentive awards, severance, and restricted stock, they are disclosed above.

employed by the parent company of PG&E, PG&E Corporation, are listed on Attachment A of this report.

2017 generally vest in one-third increments over the first three years following the grant. Upon vesting, the RSUs settle in net shares of PG&E

5. Performance shares granted in 2017. Approximately 83% (based on grant date value) of the performance shares granted are subject to a total shareholder
return measure. Generally, these performance shares vest, if at all, at the end of a three-year period, depending on PG&E Corporation’s TSR relative to
its comparator group. There will be no payout for TSR performance below the 25 th percentile; there will be a 25% payout for TSR performance at the
25th percentile; there will be a 100% payout for performance at the 60th percentile; and there will be a 200% payout for performance at the 90th
percentile. Approximately 17% (based on grant date value) of the performance shares granted are subject to equally weighted safety and financial
measures. Generally, these performance shares vest, if at all, at the end of a three-year period, depending on actual results as compared to the established
safety and financial goals, with a maximum payout factor of 200%. Upon vesting, performance shares settle in net shares of PG&E Corporation
common stock. The value of performance shares using the TSR measure is based on the grant date fair value of a performance share as determined by
Monte Carlo simulation. The value of performance shares using safety and financial measures is based on the grant date closing price of PG&E
Corporation common stock.
6. Represents the annual perquisite allowance. The annual allowance ranges from $15,000 to $35,000, depending on officer level and is paid in cash, net
of taxes. It is intended to cover items such as insurance, dues, membership fees, and security costs.

period of September 1, 2016 through August 31, 2017. Subsequent payments will be made each December for the preceding period of September 1
through August 31. The initial agreement is for a 4-year commitment period with any payments to be repaid if the employee voluntary resigns or
transfers to a non-eligible position prior to completion of the commitment period.
9. Represents STIP payments received or deferred in 2017 for achievement of corporate or organizational objectives in 2016. Target awards range from
20% to 125% of base salary. A company-wide STIP performance score is applied which can range from 0 to 2.0, depending on the extent to which
objectives are met. The company score used in calculating 2017 payments was .936. The Compensation Committee and Boards of Directors reduced
the score to .900 for senior officers due to the deaths of an employee and a contractor during 2016. An individual performance modifier is also applied
which can range from 0 to 1.5.
10. Represents the value realized from restricted stock units upon vesting in 2017. Amounts include dividends paid at the time the awards vested.
11. Represents the value realized from performance shares vesting in 2017. PG&E Corporation’s TSR for the three-years ended December 31, 2016 ranked
4th relative to the 12 comparator companies resulting in a payout factor of 160%. Amounts include dividends paid at the time the awards vested.

value (51.6%) of benefits earned under the defined benefit pension plans using a final average pay formula by 2017 by eligible earnings. For employees
using the cash balance formula, values were determined by multiplying eligible earnings by the appropriate crediting rate.
15. Represents the maximum company contributions to defined contribution plans. For the savings plans, the value is determined by multiplying 2017
actual base salary by 4.5% (6% for those participating in the cash balance feature of the retirement plan). The value for the Defined Contribution-
Executive Supplemental Retirement plan is determined by multiplying eligible earning by 7%.

In the 2014 and 2017 General Rate Cases (GRCs), PG&E did not seek recovery of all the costs
included in “Aggregate Compensation”. The GRC requests excluded costs for the Long-Term
Incentive Program, officer perquisite allowances, and the Short-Term Incentive Plan payments
for officers. On the “Compensation Received or Deferred” schedule those costs are presented in
the columns titled “Vested Restricted Stock Units”, “Vested Performance Shares”, “Other
Annual”, and “Other One Time.” The amounts received by employees in 2017 for the Short-
Term Incentive Plan reflect performance in 2016 and were accrued during 2016. As provided in
the 2014 GRC decision, PG&E’s recovery of Short-Term Incentive Plan awards for employees
other than officers was reduced by $41 million (31%). Assuming that the 2017 GRC and other
proceedings provided for recovery of Base Salary, Total Benefits, and Expense Reimbursements,
and that the 2014 GRC provided recovery for 69% of the Short-Term Incentive Plan payments to
non-officers for 2016 performance, the proportion of "Aggregate Compensation" paid directly or
indirectly by utility customers amounted to approximately 42%. Note that in computing this
percentage, PG&E has not excluded the portion of “Aggregate Compensation” that is recorded
below-the-line.
