LICENCE.

AGREEMENT

1 hislicence Agreement is made at Karachi on IhIs 12Ihday of October, 2022,

BETWEEN

M/S Constellation Cooperative Housing Society Limited of Rimpa Constellation Apartments through the
apartment management committee members, Mr. Nasir Abbas s/o Ismail Karim Rahim holding CNIIC
42301-1011804-3 and Mr. Jamshed All Khatrl sin Khatrl Ahmed holding CNIIC I/ 42000-3633842-5, having
its registered office at 4-B, Ch. Khaliquzzam Road, Karachi, of the First PART (hereafter referred as
"Licensors' And such term shall wherever the context so permits shall include and regulate their successors
and/or assigns.
AND

1) Mis.Call Advertisers Pvt Limited, through its C.E.O MR, Zahid Khan S/0 Late
Fakhruddin Muslim, Adult Holding C.N.I.0 No.42301-2012735-3, having its Office at Suit no.117,
Office Wing, Park Towers, Sh. Firdousi, Clifton Karachi- Pakistan.

2) M/s. Deplex Inn Outdoor Advertising & Digital Printing, through its C.E.O. Mr. Amir Ali Sic)
Mr.Ashiq Ali having CNIC No: 42201-0641256-9, having its office at 13-23 Unique Classic, Block-15,
Gulistan-e-Jauhar, Karachi-Pakistan,

Who shall for purposes of interpretation be referred to as the LICENCEES, and such term shall wherever the
context so permits shall include and regulate their successors and/or assigns.

Whereas the Licencees is permitted by virtue of agreement of licence to erect one (01) Pole mounted Neon
Sign/Hoarding/Billboard within the premises and on the building premises known as Rirnpa Constellation on
plot # 4-B, Ch. Khaliquzzaman Road, Frew Road, Karachi facing traffic coming from Marriot Hotel and going
towards 3 Swords (Size: 45'x 15') (Picture enclose as Annex A),

1- The Licencees is responsible to obtain permission for erecting of above said pole mounted Neon
Sign/Hoarding/Billboard from the competent authority concerned at their own cost/responsibilities
w.e.f. the date of permission granted by the concerned authority.

That it is agreed between the parties that Liconceeri chaff pay fir;. 600,000/- (Rupees . Six Hundred
Thousand only) per annum. payable after getting NOC of all Flats and approval from concern
government department, payment shall be made in advance on quarterly basis ,with the increase of 10%
every year after first 12 months.

2- That both the parties have hereby agreed to enter into this agreement for a period of Four (04) years
w c f....................2022 till......................,2026. After the expiry of this agreement, further renewal
may be extended on mutually agreeable terms and conditions between both the parties and Licencees
has the first right of refusal.

3- To install Neon Sign/Hoarding/Billboards structure after the approval of Honorable Supreme Court
and the annual charges to start after the approval of Honorable Supreme Court. Incase of Honorable
Supreme Court is not given permission till December 31°, 2022, the un-utilized period is treated as free
of any charges.

4- That this agreement is on an exclusive basis for the above mentioned location, The Licensors shall
not let out front side for any other pole mounted advertising signboard on the said property to any
other Licencees for putting up any other Neon Sign/Hoarding/Billboard till the period of the
agreement.

5- If there are any problem from any flat owner or any other person, so the contribution shall not be
charged for this duration / period. This duration / period wilt be availed after the expiry of this
agreement period.

6- That the Licencees shall be solely liable for the payment of all taxes, levies etc. in respect of the
above mentioned pole mounted Neon Sign/Hoarding/Billboard to the concern departments any/or
other tax / taxes directly / indirectly related to advertising of the above site.

7- The Licensors will provide / Necessary documents / other needful assistance as required by the any
concerned department for this agreement.

8- If any previous party claim I any dispute / court case regarding above Neon
Sign/Hoarding/Billboard the Licensors is liable to handle /clear any matter.

9- That the Licensors/Managing Committee Members shall permit the authorized representative/s of the
Licencees, in connection with the installation, repair, checking maintenance of the said above That
the material used and supplied by Licensees in connection for erection of the said Neon
Sign/Hoarding/Billboard shall remain the sole and absolute property of the Licencees.

10- That the Licencees shall pay to the Licensors contributions as follows and after the
completion of 1 year of the agreement, 10% of the agreement amount will be increased after
completion of every
year till the tenure of this agreement :-

11- That the contribution will be paid, in advance on quarterly basis from 2nd year onwards
by the Licencees to Licensors through cheque / bank pay order made in the name of MIS
Constellation Cooperative Housing Society Limited.

12- The Licensors has already paid Rs. 600,000/- (Rupees Six Hundred Thousand only) being
the First year rent in advance.

13- That the Licencees shall obtain prior permission from the Society's authorized
representative of the Licensors for repair or removal of the said Neon Sign/Hoarding/Billboard
structure.

14- That the Licensors will have no objection to an electric connection and all the electric bills
of the said meter shall be paid by the Licencees. However, the Licensors will provide all the
necessary relevant documents. All the bills/charges due of the said sub meter and electricity
consumed for sign boards, shall be borne exclusively by the Licencees. The Electric sub meter
installed for the said sign board be arranged/installed by Licensors on their own accord and costs
whatsoever. The Licencees shall reimburse / pay monthly charges due as per units consumed.

15- A deposit equal to approximately one month usage will be given to the Licensors and treated as
deposit until the sub meters are installed.

16- That the material used and supplied by Licencees in connection with erection and
electrification of the sign shall always remain unquestionable property of the Licencees.

17- That the Licencees shall erect the above mentioned Neon Sign/Hoarding/Billboard at their
own cost and labor.

18- That the Licencees shall have the rights to change the publicity matter according to the
publicity campaigns of any of their clients as and when so desired not exceeding of size 45' W x 15' H
one side and the Licensors shall have no rights to interfere in this regard.

19- That the materials of Neon Sign/Hoarding/Billboard and all utilized for the provision of
branding space only. Skin material shall remain at the sole discretion of Licencees.

20- That During the tenure of this agreement the Licensors will not permit any other person/nor
shall themselves utilized for the provision of branding space on this agreed site.

21- That during the tenure of this agreement if the above mentioned Neon
Sign/Hoarding/Billboard sites view is obstructed by any and other building or construction etc., then in
such case the agreement shall be treated as cancelled and the Licensors shall stop charging
contribution from the Licencees,

22- That, if the opportunity to increase the size of the above hoardings or any hoarding(s) arises
and the CDGK for the site will be the CHALLAN issued by the CDGK as approval / grant of
hoardings. The copy of the above challans will be given to the Licensors by the Licencees as soon as
the same are issued and contract period will only start from the date of issue of these challans by CDGK
subject to proportionate increase in the total contribution for the said board.

23- The contract would stand terminated if payment of contributions or any other sum payable
by the Licencees to the Licensors for the Neon Sign/Hoarding/Billboard installed at the premises are
not cleared within 30 days from the date of payment falls due and the security in the shape of one
structure will remain under the Licensors hold until the all contributions / arrears due are cleared by
the Licencees.

24- The Licensors will be at liberty to then enter into any agreement with any other party/s for
use of the said space.

25- The Licensors not be at liberty to grant permission of license to any other party suitable to
them for putting up any signs at the said site during the tenure of the agreement.

26- Any damage to life, limb or property in any manner during and / or after installation of the
Neon Sign/Hoarding/Billboard etc., shall be the sole responsibility of the Licencees. The Licencees
shall be liable to compensate /reimburse for any such damage thus caused.

27- That the Licencee has also agreed and admit in respect of this said site/
Neon Sign/Hoarding/Billboard, In this event/ period the Hoarding/Billboard dismantle by any wind
Pressure, climate Disaster's and any other Disaster etc. It is total and absolute responsibility of
the Licencees due to any other unforeseen circumstances whatsoever caused by the above
mentioned pole mounted advertising signboard which may occur during or after the erection of
the above pole mounted advertising signboards.

28- The Licencees will be solely individually and severally liable to pay/fulfill any claims as
to the damages, losses or expenses at their own cost for any situation whatsoever and the Licensors
is not Responsible in anyway to any such matters whatsoever.

29- That the insurance will be the sole responsibility of the "Licencees" for covering all any
damage to life, limb, property or building structure, etc., in any manner caused by their above
mentioned said Neon Sign/Hoarding/Billboard.

30- That the agreement will remain on force even if the current association/Members of the
association of M/S Constellation Cooperative Housing Society Limited are Changed by any
means/ reasons and it is understood that the new association will keep in force this agreement
until the time of expiry of this agreement.
31- On expiry of the contract the Licencees shall restore the premises used to it original
condition as handed over by the Licensors at the time of signing of this agreement.

32-In case of any dispute between the two parties it shall be referred for mutually agreed arbitration.
The arbitrators decision would be binding on both parties, in such a case, the agreement shall be
considered terminated and the Licensors binds himself to refund to the Licencees the proportionate
contribution for the un-expired from the date of such requisition.

33- That, a notice for 3-months to the Licensors shall be mandatory for termination of the said agreement.

That. both parties affix their signatures having agreed to the above terms and conditions of this Licence
agreement.

IN WITNESS WHEREOF, the parties hereto have set their hands on this day, month and year mentioned
hereinabove.
