The course structure for the LL.M Program has been crafted
keeping in mind that along with regular lectures on securities laws, students are also exposed to practical
insights, case studies, dynamics of ever evolving securities markets, various nuances of nancial investments,
corporate values, skills required for complex problem solving, drafting, court craft as well as professional traits
that are expected to form an inherent part of a legal professional. Therefore, the program is delivered by a mix of
academicians, industry experts, practitioners and regulators. The methodology of imparting knowledge
includes class room sessions, skill development workshops, role play, moot courts, training and eld research.
This LL.M. program aims to train and transform students into professionals, who possess a right blend of
knowledge, technical skills, and ability to think out of the box and innovate. These students are also suitable to
work with law rms which are engaged in advising on corporate restructuring, corporate transactions (such as
mergers and acquisitions, project nancing, banking and nance, private equity etc.), all matters of capital
markets and securities law as well as in the eld of litigation before various courts/ tribunals/ regulators /other
authorities. I am sure that the students who complete their LL.M. from NISM under the aegis of MNLU will be an
asset anywhere and in all organisations including in the nancial markets. The students are groomed to work in
legal and compliance departments of various nancial organisations. I am con dent that our LL.M. students
hold the promise of performing critical roles in your organizations and strongly recommend them to be part of

Our curriculum trains students to think broadly about the issues in the eld of investment and securities law,
use of latest research and latest case studies to explore the solutions from various points of view and think
creatively. Students are trained to write a good research report on contemporary legal issues in investment and
securities law by capitalising effectively on the cases, best data and ideas. As a part of our program, we also
provide necessary software training related to securities trading and data analysis.

The National Institute of Securities Markets (“NISM”) is a public trust established in 2006 by the Securities and
Exchange Board of India (“SEBI”), the regulator of the securities markets in India. The institute carries out a wide
range of capacity building activities at various levels aimed at enhancing the quality standards in securities markets.
The institute's six schools of excellence work in synergy towards creating professionalized securities markets.
NISM sprawling 72-acre campus with a serene environment and state-of-the-art infrastructure at Patalganga (near
Mumbai-Pune Expressway) was inaugurated by Shri Narendra Modi, incumbent Prime Minister of India, on 24
December 2016. This picturesque campus offers full-time residential academic programmes for postgraduate
students, short-term training programmes and faculty development programmes for market participants.
NISM has embarked on a fast-track expansion of its activities, both domestically and internationally, which will
position the institute as a leading global player in knowledge dissemination and skills enhancement in the nancial
markets domain.

School for Securities Education (SSE): The SSE provides full-time and weekend academic programmes in securities
markets as a part of NISM's objective of professionalizing the securities domain. These include Post-Graduate
Diploma in Management (Securities Markets), Post-Graduate Certi cate in Securities Markets (“PGCSM”), LL.M. in
Investment and Securities Law and Post-Graduate Certi cate in Management (Data Science in Financial Markets).
School for Certi cation of Intermediaries (SCI): The SCI develops and conducts certi cation examinations for
market professionals, aspiring students, and investors. These include exams for Pension Fund Regulatory and
Development Authority (PFRDA) & Insolvency and Bankruptcy Board of India (IBBI). The school also offers Customized
Joint Certi cation Programs in Securities Markets for under graduate & post-graduate students.
School for Regulatory Studies and Supervision (SRSS): The SRSS is engaged in developing excellence in regulatory
practices among regulators and market participants through training, workshops, etc. It conducts capacity-building
and advanced training programs focusing on policy creation and implementation for securities market regulators.
SRSS also delivers customized training programs to suit speci c requirements.
School for Investor Education & Financial Literacy (SIEF): The SIEFL is engaged in propagating the importance of
nancial literacy among school students through its POCKET MONEY program. It also focuses on Securities Market &
Mutual Fund awareness through its trainings and workshops.
School for Corporate Governance (SCG): The SCG conducts various programmes aimed at re ning Corporate
Governance through effective implementation and quality processes.
School for Securities Information and Research (SSIR): The SSIR focusses on building an environment conducive to
premium-quality research that contributes to the form and structure of nancial markets, helps product innovations,
evaluates and enhances risk management methods and policy research aimed at making the markets safe for
investors. The school conducts capital market conferences, symposiums, and workshops on R, Python, etc.

The LL.M. program in Investments and Securities Laws is an advanced program of legal study that is customized
to the needs of the individual student and working legal professionals. Having committed to providing the
highest quality of education in the eld of securities markets, NISM has entered into a collaboration with India's
premier Law University, Maharashtra National Law University, Mumbai (“MNLU”) for offering this LL.M. in
Investment and Securities Laws. This specialized LL.M. program, designed primarily for the law students
intending to work in the nancial markets, offers full-time, intensive academic training in the legal regulation of
securities and investments in India. In line with NISM's mission for academic excellence, the course offers a
depth of background in a broad array of topics arising out of corporate law and securities regulation including
the regulation of issuance of securities, secondary trading of securities, market regulation, enforcement issues,
corporate nance, investment by a person resident outside India, investment advisers, derivatives, regulation of
banking and nancial institutions, competition law and insolvency laws. This course offers an introduction to the
three most important securities laws: The Securities Contract Regulation Act of 1956, Securities Exchange
Board of India Act of 1992 and the Depository Act of 1996. The LL.M. in Investment and Securities Laws also
explores the scope of more than 36 regulations framed by SEBI and its impact on structured growth of
securities markets in India. The course also focuses on learning the tools in the deals and documents related to
the securities market transactions, which would be helping in understanding the nature of disputes that arise in
a nancial market. The students undergo most classes with a joint team of expert faculties from NISM and
MNLU. The course will also engage some of the nation's leading advocates in the eld of corporate law and
securities laws, as well as o cers from regulators, whose work is oriented more toward practice and the
profession as a visiting faculty. The course also offers practical smart lab training to the students to make them
aware of the various processes and use of the technology in the securities markets.
Dedicated to enhancing an interdisciplinary legal and securities market education for the academic community,
as well as for experienced legal and business practitioners related to nancial markets, the LLM in Investment
and Securities Laws provides a scope to the sharpening of skills and learning the tools to be an effective
business lawyer.
