DEED OF ASSIGNMENT

(ASSIGNEE)

THIS DEED OF ASSIGNMENT is made this day of 2018 BETWEEN


Grace Ogunjobi of 8, Ojamakinwa Takuro Street, Addo, Ajah, Lagos
(hereinafter called “The Assignor” which expression shall where the
context so admits include his agents, privies, representatives and
assigns) of the one part
AND
Bright Buttons Limited of Ikota Shopping Complex, Ajah, Lagos.
(hereinafter called “the Assignee” which expression shall where the
context so admits include its agents, privies, representative and
assigns) of the other part.
WHEREAS:
1. The Assignor purchased A Residential Plot Of Land (MEASURING
459.318 SQUARE METERS-APPROXIMATELY) described and
known as 8, Adebola Street, Off Primary School Road, Agbowa,
Ikorodu, Lagos (hereinafter called “the Property”) from Pa Agbede
Abdullahi who had a communal allotment in his name.
2. The Assignor is seized of the property herein described free from
encumbrances and has agreed with the Assignee thereof to him at
the manner herein appearing.
3. The Letter of Agreement to the subject matter of this instrument
has not been revoked nor transferred to a third party by way of
sale, mortgage, assignment, or any other way involving divesting
of title prior to the transaction subject matter of this instrument.
4. The Assignor has agreed with the Assignee for the assignment of
the unexpired residue of the lease and to use diligence in
obtaining consent of the Federal Housing Authority to the
Assignment.

CONSIDERATION:

Pursuant to the assignment and in consideration of the value of Nine


Million Naira (N9,000,000) only now offered by the Assignee (the
acceptance of which the Assignor hereby acknowledges), the Assignor
hereby assigns all his rights and unexpired residue over and in the
property to the Assignee as the beneficial owner.

NOW THIS DEED WITNESSES AS FOLLOWS:

1. The Property is free from encumbrances.

2. The Assignee shall hold the residue of the unexpired term of years
in the Property subject to the performance/observance of the
covenants and conditions contained herein.

ASSIGNOR COVENANT’S:

1. The Assignor hereby covenants with the Assignee that he has full
powers and right to assign the said Property and that it is free of
charges and encumbrances.
2. The Assignor hereby covenants with the Assignee to indemnify
and compensate in full the value offered under this deed by the
Assignee in the event of the emergence of any successful adverse
title or encumbrance, or where the title now assigned turns out to
be defective.

ASSIGNEE COVENANT’S

1. The Assignee hereby covenants with the Assignor that henceforth


during the continuance of the term of the assignment to pay the
rates and premiums reserved hereby.
2. The Assignee hereby covenants with the Assignor to keep,
observe and perform all the covenants herein contained.

PROVIDED ALWAYS THAT:

The covenants implied herein by reason of the Assignor being


expressed to convey as beneficial owner shall not be deemed to imply
that any of the covenants on the part of the Assignor contained in the
said deed having been performed or observed would put the Property
hereby assigned into a state or condition other than which it is now.
