Deed of Assignment
DEED OF ASSIGNMENT
KNOW ALL MEN BY THESE PRESENTS:
This Deed of Assignment is made and entered into by and between:
<OUTGOING LESSEE>, a (sole proprietorship or company or corporation)

duly existing and organized under and by virtue of the laws of the Philippines, with
principal place of business at _____________________________ and herein duly
represented by its owner, Mr./Ms._______________________, hereinafter referred
as the ASSIGNOR;
- and -
<INCOMING LESSEE>.,a (sole proprietorship or company or corporation) duly

existing and organized under and by virtue of the laws of the Philippines, with
principal place of business at ______________________________ and herein duly
represented by its owner, Mr./Ms._______________________, hereinafter referred
as the ASSIGNEE;
WITNESSETH:
WHEREAS, the ASSIGNOR is a lessee of (Company Name of Mall/FC.

Example: SM Prime Holdings. Inc.) Specifically at (Mall/FC Name. Example: SM
City North Edsa) referred to as (Location Code. Example 101 (A)) and is doing
business under the name and style “(Tradename. Example: ABC Restaurant);”
WHEREAS, the ASSIGNOR is interested in assigning and the ASSIGNEE is

interested in acquiring whatever right, title or interest which the ASSIGNOR may
have over the leased area;
NOW THEREFORE, for and in consideration of the foregoing premises and of

the terms and conditions hereinafter set forth:
1. The ASSIGNOR hereby transfers, conveys and cedes unto the

ASSIGNEE the Contract of Lease and all her rights, titles, interest and participation
over the leased area, including the security deposit paid to (Mall/FC Name.
Example: SM City North Edsa), the improvements and the other assets therein.
2. The ASSIGNEE hereby assumes all obligations of the ASSIGNOR and

accepts all conditions, restrictions and stipulations which (Company Name of
Mall/FC. Example: SM Prime Holdings, Inc.) impose over the leased area as
provided in the Contract of Lease which shall be entered into by and between
(Company Name of Mall/FC. Example: SM Prime Holdings, Inc.) and the
ASSIGNEE.
IN WITNESS HEREOF, the parties have hereunto affixed their respective

organized under and by virtue of the laws of the Philippines, with principal place of
business at 937 EDSA, South Triangle, Quezon City and herein duly represented by
its president, Mr. John Sy, hereinafter referred as the ASSIGNOR;
- and -
M and J GOLDEN NOODLE FOOD CORPORATION, a corporation duly

existing and organized under and by virtue of the laws of the Philippines, with
principal place of business at HM Compound, Gen. Malvar St., Tubigan, City of
Binan, Laguna and herein duly represented by its owner, Mr. Josephine E. Mercado
hereinafter referred as the ASSIGNEE;
WITNESSETH:
WHEREAS, the ASSIGNOR is a lessee of SM Prime Holdings Inc.

Specifically at SM City Santa Rosa referred to as ANX 127 and is doing business
under the name and style “HAP CHAN TEAHOUSE;”
WHEREAS, the ASSIGNOR is interested in assigning and the ASSIGNEE is

interested in acquiring whatever right, title or interest which the ASSIGNOR may
have over the leased area;
NOW THEREFORE, for and in consideration of the foregoing premises and of

the terms and conditions hereinafter set forth:
1. The ASSIGNOR hereby transfers, conveys and cedes unto the

ASSIGNEE the Contract of Lease and all her rights, titles, interest and participation
over the leased area, including the security deposit paid to SM City Santa Rosa, the
improvements and the other assets therein.
2. The ASSIGNEE hereby assumes all obligations of the ASSIGNOR and

accepts all conditions, restrictions and stipulations which SM Prime Holdings, Inc.
impose over the leased area as provided in the Contract of Lease which shall be
entered into by and between SM Prime Holdings, Inc. and the ASSIGNEE.
