Dear Hitesh Verma,

This has reference to your application and the subsequent discussions with us for engagement as an
employee in Vee Excel Drugs & Pharmaceuticals Pvt. Ltd.

We are pleased to offer you an appointment as Manager R&D in our Plant Office, Greater Noida, Uttar Pradesh.
You will be primarily responsible for handle the F & D Department related work of Plant Office and will
report Plant head and CEO.

Your duties and responsibilities will be discussed and appended with your letter of appointment pending
your acceptance and submission of documents on the date of joining.

The terms of employment in brief are at Appendix A to this Letter

Please sign the duplicate copy of this Letter of Offer as a token of your acceptance and return the same
indicating the expected date of joining.

Appendix A:-

Standard Terms of Employment:

1. All work assigned and executed by you in our office will be the property of Vee Excel and are forbidden to
copy, transfer, upload any data what so ever for personal/commercial use. You also agree to sign “Non-Discloser
Agreement” (attached with your offer letter) in this effect.

2. You are not allowed to bring any Pen Drive, CD etc to the office without prior permission from the
management.

3. You are not allowed to use office computers, phone, photocopier or any other office equipment for personal
use. All these things are under electronic surveillance and if caught, you will immediately be terminated and if
found during investigation that your act has caused any financial loss or damage to the company’s image, the
same will be recovered from you.

4. Company does not have any policy of paying advances for what so ever reason.

5. Company operates a Family Medical Insurance wherein 50% of the premium (Max up-to Rs.200,000 floating
balance) will be paid by company subject to you opting for the same. However, this cover will be available only
after completion of your probation period of 6 months and for individuals whose salary is more than 2.52 Lac).

6. The Notice period for separation from the Company is 2 months for all employees.

7. Our office timings at the plant is from 09 am to 6 pm from Monday to Saturday. Every Second Saturday is
half day.

8. Total no of leaves available (gazette, festival or other leave (CL)) during the year is 20. No Leave is entitled
during the Probation period except in the case of an emergency as duly approved by the Management.

9. You have to bring copy of your education certificates and proof of your last salary drawn (if any) along with
2-passport size photograph on the date of joining.

10. You will have to sign the employment guarantee bond for a minimum period of 2 years which is attached with
this mail on the date of joining the office/Plant. Your date of joining will be governed by filling of the employment
guarantee and return it back to us by email as confirmation of your acceptance.

11. PF & ESI is applicable as per government Policy.

12. This offer is valid only for 3 days from the date of this mail.

13. All other company policies shall be handed over to you at the time of your joining and issue of Letter of
Appointment.

14. Joining will be confirm after receiving the original documents.

EMPLOYEE NON-DISCLOSER AGREEMENT

This Employee Non-Discloser Agreement (the "Agreement") is made

Vee Excel Drugs & Pharmaceuticals Pvt. Ltd. (the "Company"), a corporation organized and
existing under the laws of the Uttar Pradesh, with its head officelocated at:
703 DevikaTower Chander Nagar Ghaziabad-201011, India and Plant
Address: B 1/A, Road No 25, EPIP, Kasna, SurajpurSite-5, G. Noida (UP),
INDIA.

In consideration of employment by Company since ............................ and discloser by Company of


Confidential and trade secret information, the undersigned Employee hereby covenants and agrees asfollows:

1. CONFIDENTIALITY
Employee acknowledges that in the course of Employee's employment by Company, Employee will be exposed to
valuable confidential and trade secret information of Company. Employee agrees to treat allsuch information as
confidential and to take all necessary precautions against discloser of such information to third parties during and
after the term of this Agreement.

Employee acknowledges that trade secrets of the Company will consist of but will not be necessarily limited to:

a) Technical information: Methods, processes, formulae, compositions, systems, techniques, inventions,machines,


computer programs, IDs, passwords and research projects.

b) Business information: Customer lists, pricing data, sources of supply, financial data and marketing,
production, or merchandising systems or plans.

Employee understands that this Agreement does not and will not prevent him/her from working for any other
Company subsequent to the termination of his/her employment with the Company as long as theEmployee does
not use or disclose any such confidential and proprietary information.

2. NON-DISCLOSER
Employee agrees that, except as directed by Company, the Employee will not at any time, whether duringor after his

employment with Company, disclose to any person or use any Confidential Information, or permit any person to
examine and/or make copies of any documents, forward email to anyone’s personal

mail or any other act/ways, which contain or are derived from Confidential Information, whether preparedby the
Employee or otherwise coming into the Employee's possession or control without the prior writtenpermission of
Company.

3. COMPANY'S CLIENTS
If Employee's employment with Company terminates for any reason, the Employee shall not, for a period of three
(03) year from the date of termination, have any business dealings whatsoever, either directly or indirectly or through
corporate entities or associates with any customer or client of Company or its subsidiaries or any person or firm which
has contacted or been contacted by Company as a potential customer or client of Company; and Employee shall keep
in strictest confidence, both during the Employee's employment and subsequent to termination of employment, and
shall not during the period ofemployment or thereafter disclose or divulge to any person, firm or corporation, or use
directly or indirectly, for the Employee's own benefit or the benefit of others, any information which in good faith
andgood conscience ought to be treated as confidential information including, without limitation, information relating
to the software developed by Company, information as to sources of, and arrangements for, hardware supplied to
customers or clients of Company, submission and proposal procedures of Company, customer or contact lists or any
other Confidential Information.

4. USE
Employee shall not use Company's confidential and trade secret information, except to the extent
necessary to provide services or goods requested by Company.

5. ENFORCEMENT
The Employee agrees that if he/she commits a breach of any of the provisions of this Agreement, the Company shall
have the right to enforce this Agreement in any court having equity jurisdiction. Employee acknowledges and agrees
that any such breach of this Agreement will cause irreparable injury to the Company and that money damages will
not provide an adequate remedy to the Company. In addition, theCompany shall have any other rights and remedies
available at law or in equity.

6. TERMINATION
All materials furnished to Employee by Company, and all materials prepared by Employee in connection with
Employee's employment by Company, including without limitation documents, models, source code, designs,
flowcharts and listings, along with all copies made thereof, shall be returned promptly to Company upon termination
of Employee's employment by Company.

7. OWNERSHIP

Employee agrees that all developments made and works created by Employee or under Employee's direction in
connection with Company assignments shall be the sole and complete property of Company,that any and all copyrights
and other proprietary interests therein shall belong to Company, and that the other provisions of this Agreement shall
fully apply to all such developments and works.

8. GOVERNING LAW

This Agreement shall be construed in accordance with the laws of the state of INDIA.

9. INDEMNIFICATION
Employee agrees to pay liquidated damages in the amount of Rs. 10, 00,000/- (Rs. Ten Lac only) for any violationof the
covenant not to disclose confidential information contained in this Agreement.

10. BINDING AGREEMENT


If any part of these promises is void for any reason, the undersigned accepts that it may be severedwithout affecting
the validity or enforceability of the balance of the promises.

This agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns,and personal
representatives.

IN WITNESS WHEREOF, each party to this agreement has caused it to be executed at [UTTAR

AGREEMENT

THIS AGREEMENT made in Delhi this ................... 2023 BETWEEN

Vee Excel Drugs& Pharmaceuticals (P) Limited, a company incorporated under the
Companies Act, 1956, having its registered office at G-16, Preet Vihar, Vikas Marg, Delhi -
110092 and represented herein by its Director Mr. Vipin Bansal, hereinafter called the
“COMPANY’, which term shall, whenever the context so admits, mean and include its
successors-in-interest, administrators, executors and assigns of the FIRST PART;

AND

HITESH VERMA SOPANRAO, House no 10, Street no 12 B, Avtar Nagar, Backside TV Centre,
Jalandhar, Punjab 144002, hereinafter called the “EMPLOYEE’, which term shall, wherever the
context so admits, mean and include his legal heirs, administrators, executors and assigns of the
SECOND PART.

WHEREAS, the party of the Second Part has joined/ agreed to join the employment
of the Company in the position of Ma n a g e r R&D of the Company. w.e.f. .

WHEREAS the employee after joining the Company shall be imparted /provided
with special knowledge and skills towards the trade and business of the Company,

particularly towards the Pharmaceutical Business, towards which the company has
incurred Costs and expenses.

And Whereas it is a condition of appointment that the Employee shall, immediately on joining
the company, enter into the present agreement thereby undertaking to be in continuous service
in the company for a minimum period of 2 years failing which, the employee shall be liable to pay
the company a sum of Rs. 100,000/- (Rupees One Lack only) towards liquidated damages, which
is the amount spent by the company on your training.

And whereas, in the event of the employee failing to abide by the terms and conditions of
this Agreement, then the employee undertakes to indemnify the company to the extent of
the sum undertaken in the event of his/her committing any breach or violation of the terms and conditions of
this Agreement,

NOW IT IS MUTUALLY AGREED BY AND BETWEEN THE PARTIES HERETO, AS


FOLLOWS: -

1. Upon execution and joining of the employment, the Employee hereby undertakes to
remain in the continuous service of the company for a further period of 2 years.
2. The Employee shall not resort to any acts of indiscipline or misconduct or irregular in
attendance.
3. The Employee shall abide by the Terms of the Employment, Standing Orders or general
rules of the company as specified in the appointment letter sent on date 25-07-2023
by email and new rules formed during the tenure.
4. In the event of the employee committing any breach or violating the terms of this
Agreement in not continuing in the employment of the company for the period
stipulated in this Agreement, then he shall, on demand [not later than 15 days from
n o ti ce a s um of Rs.100,000/- ( Rupees O n e Lack only) towards liquidated
damages.

5. In the event of the Employee being unable to pay the said liquated damages under any
circumstances or, failing to pay such damages as stipulated herein, the Company shall
be at liberty to recover the sum of Rs.100, 000/- (Rupees One Lack only) due to them
by the Employee towards liquidated damages.

6. All disputes and claims assigning out of the terms and conditions of the Agreement
shall be subject to the jurisdiction of Courts in the city of Delhi only.
