AMENDMENT TO CITY ATTORNEY EMPLOYMENT AGREEMENT

This AMENDMENT TO CITY ATTORNEY EMPLOYMENT AGREEMENT


(“Amendment”), is made and entered into effective as of November __, 2023 by and between
Cassandra K. Jackson (“Employee/Consultant” or “Jackson”) and the City of Tallahassee
(“Employer” or “City”) (collectively, the “Parties”).

WHEREAS, the City and Jackson entered into that certain City Attorney Employment
Agreement (“Employment Agreement”) on April 4, 2018 whereby Jackson became employed by
the City in the position of City Attorney; and

WHEREAS, Jackson and the City have agreed that Jackson will, as of November 24,
2023, resign her position as City Attorney but, will continue to be employed by the City as an
Employee/Consultant through June 1, 2024, with the same salary, benefits, terms and conditions
as provided in the Employment Agreement except as otherwise provided in this Amendment;
and

WHEREAS, the City and Jackson mutually desire to reduce their agreement to writing
such that Jackson, as an Employee/Consultant, will provide certain consulting services
(“Consulting Services”) as defined herein for the benefit of the City and to otherwise set forth
their collective agreement covering the period of employment between the execution date of this
Amendment and June 1, 2024.

NOW, THEREFORE, in consideration of the mutual representations and promises


contained herein, and for other good and valuable consideration, the receipt and legal sufficiency
of which are hereby acknowledged, the Parties hereby agree that the above recitals and
background is true and correct, and further hereby agree as follows:

SECTION 1. Resignation of Employment as City Attorney/Employment as


Employee/Consultant

As of the effective date of this Amendment, Jackson resigns her position as City
Attorney and is simultaneously (without any break in service) employed by the City in the
position of Employee/Consultant, subject to the same terms and conditions contained in the
Employment Agreement between the Parties dated April 4, 2018, except as otherwise set forth in
this Amendment.

SECTION 2 Term of Employment as Employee/Consultant

Notwithstanding Section 2 of the Employment Agreement (Term), Jackson shall serve as


an Employee/Consultant from the effective date of this Amendment until June 1, 2024.

SECTION 3. Duties as Employee/Consultant


Notwithstanding Section 1 of the Employment Agreement, Jackson’s job duties as
Employee/Consultant shall be to provide certain Consulting Services which include, but are not
limited to the provision of advice and counsel regarding 1.) the efficient organizational structure
and operation of an in-house city attorney’s office and the appropriateness and necessity of
seeking outside legal counsel, i.e., conflicts of interests; 2.) local government labor and
employment relations legal matters; 3.) legal requirements for the drafting of municipal
ordinances, including conducting legal review as requested by the Interim or City Attorney; 4.)
legal requirements for a municipal charter review process , including the drafting of legally
sufficient referenda as requested by the Interim or City Attorney; and 5.) strategy and defense on
currently outstanding litigation, including the provision of case status updates. Jackson duties
shall be assigned by and she shall report to the Interim or City Attorney.
SECTION 4. Automobile.

Notwithstanding the provisions contained in Section 6 of the Employment Agreement


(Automobile), Jackson agrees to return the City vehicle provided her on or before November 24,
2023.

SECTION 5. Employment Agreement Terms and Conditions Unaltered

All other terms and conditions contained in the Employment Agreement dated April 4,
2018, whether for the benefit of the City or Jackson shall, notwithstanding the change of
Jackson’s position title from City Attorney to Employee/Consultant, and, except as specifically
addressed in this Amendment to the Employment Agreement, remain unaltered and in full force
and effect and shall be enforceable as provided in the Employment Agreement.
