Term Sheet
Description
Party A intends to move investment funds to Party B and organise the building of a financial
institution for mutual benefit as well as hold on behalf of SEI the investment funds shared. Party B
is ready and able to receive the total sum of €50B or more into UOB Bank, Labuan.
Party A - AA requests that SCC sets up an account in UOB Labuan for AA to retain €25B.
Party B – SCC to retain €20B from this arrangement for the issuance of 20% Preferential Shares of
SCC. (Annex A)
SCC shall withhold €12.5B as its holdings, where €10B is the unconditional ownership of SCC and
create a contract for Party A – SEI stating that the remaining €12.5B is held on behalf until the
successful opening of UOB Labuan Account for the €12.5B to be deposited into. (Annex B) Also,
SCC to include interest in going into Dr Samuel Heng’s Trade Programs utilising the balance €2.5B
in SCC’s account for benefits in the following manner: Trade proceeds to be shared with all
individuals on the basis of two groups of four individuals. Group 1 (James, Darren, Simeon,
Samuel) and Group 2 (Terence, William, Anthony, Dias Loo). The principal sum of €2.5B shall
remain in SCC’s Financial Institution AUM upon trade completion. (Annex C)
Fees for the working parties, The Trader Group and Introduction Party is 5% €2.5B.

This arrangement is made by Seraphic International (Private) Ltd, to organise its client Andro AG, to
send €50,000,000,000.00 (Fifty Billion Euros) into UOB Labuan. This is an effort to assist the client in
divestment plans as well as investment into Swift Clear Capital.
The arrangement in this document shall act as the primary agreement between Swift Clear Capital
and Seraphic International (Private) Ltd. Arrangements of the client, Andro AG, shall be instructed to
Seraphic International (Private) Ltd to be conveyed to Party B.
Annex A
Based on the Principal Sum of €50,000,000,000.00 (Fifty Billion Euros)
50% of the total amount goes to Andro AG’s account setup in UOB Labuan for divestment purposes.
20% of the total amount goes to Swift Clear Capital Ltd to cover the required Capital of €5B
organised in exchange for a 20% Preferential shareholding of SCC. (This is €5B excess for SCC as it is
the main organiser of the various account openings for Andro AG as well as Seraphic International
(Private) Ltd.)
Annex B
Based on the Principal Sum transferred over to Swift Clear Capital Ltd of €50,000,000,000.00 (Fifty
Billion Euros)
After Sending 50% (€25B) into Andro AG, UOB Labuan, there will be a balance of €25B with Swift
Clear Capital Ltd.
Based on the Balance Sum still with Swift Clear Capital Ltd of €50,000,000,000.00 (Twenty Five
Billion Euros)
Swift Clear Capital Ltd shall hold on to an additional €2.5B on top of the 20%. (This is now 25%)
Swift Clear Capital Ltd creates a contract with Seraphic International (Private) Ltd stating interest in
using 5% to enter into trade.
Swift Clear Capital Ltd shall send the remaining 25% (€12.5B) to Seraphic International (Private) Ltd
in UOB Labuan, where 5% goes to consultant fees as well as the Trader Group which consists of
James Weber and the banking team organising the transfers.
Annex C
Upon completion of all transfers, the €2.5B held by Swift Clear Capital Ltd shall commence the
process for entry into the Trade Program which will be introduced by Dr Samuel Heng.
Trade Proceeds to be on an equal sharing basis between Seraphic International (Private) Ltd (Group
1) and Swift Clear Capital Ltd (Group 2).
