RENTAL AGREEMENT

This Rental Agreement is made on this [∙] day of [∙] (hereinafter referred to as the
“Commencement Date”) at Lahore, Pakistan between:

[∙] son/daughter of [∙], resident of [∙], CNIC No. 35202-7377225-1 (hereinafter referred to as the
“Lessor“ which term shall mean and include wherever the context as admits or requires its
successors, administrators and assigns) of the FIRST PARTY;

AND

M/s. Sky 9 Builders & Developers Pvt Limited, a Company incorporated under the laws of
Pakistan, having its Principal/Registered Office at Office # 1, 3rd Floor, Plaza No 01 Paradise
Commercial Bahria Town Islamabad, through its CEO Mr. Mustafa Hussain Syed s/o Syed
Musheer Hussain holding CNIC # __________________, (hereinafter referred to as the “Lessee”,
which term shall mean and include wherever the context as admits or requires its successors,
administrators and assigns) of the FIRST PARTY;

The Lessor and the Lessee will hereinafter jointly be referred to as the “Parties” and singly as
the “Party”.

WHEREAS:

(A) The Lessee is the Master Developer and holds authority over a multi-story
building/complex named Melrose Arch on the Plot 84 which includes hotel suites,
restaurants, and commercial shops (hereinafter referred to as the “Melrose Arch”)

(B) The Lessor is the owner of the hotel suite [or Commercial Area] within Melrose Arch,
detailed in Schedule-A, (hereinafter referred to as the "Unit" or “Premises”);

(C) The Lessor has agreed to lease and the Lessee has agreed to take on lease the Unit along
with all the rights and easements pertaining thereto, at the agreed rent and subject to
execution of a binding lease agreement between the Parties on terms and conditions
agreed herein;

(D) This Lease Agreement is subject to the terms and conditions set forth in the Management
Agreement previously executed between the Parties, which governs the utilization and
management of the Unit within Melrose Arch.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth in this
Lease Agreement, and for other good and valuable consideration, the adequacy of which is
hereby acknowledged by the Parties, and the mutual benefits to be derived therefrom, the
Parties agree as follows:

1. Agreement to Lease

1.1. The Lessor, in consideration of the Rent to be paid by the Lessee, does hereby lease to
the Lessee the Premises, and the Lessee does hereby take on lease from the Lessor the
Premises on the terms set out below.

1.2. This Lease Agreement is subject to the Management Agreement dated [•] executed
between the Parties.

1.3. The period of this Lease for the Premises has been mutually fixed for [•] years which
shall begin on the Commencement Date and shall continue in force and effect for a
period [●] years thereafter (“Term”). Thereafter, this Lease shall stand renewed
automatically for further successive periods of [•] years each unless terminated earlier in
accordance with clause 8 (Termination).

2. Rent and Security Deposit

The Lessee agrees to pay to Lessor and the Lessor agrees to accept, during the Term, at
such place as the Lessor shall from time to time inform the Lessee, rent at the following
rates and times.

2.1. Monthly Rent: The rent of the Premises during the Lease Term shall be calculated from
the Commencement Date of the Term and shall be fixed at Rs. [•]/- (Rupees [•] Only)
per month (“Rent”).

2.2. Payment of Rent: The first Rent payment shall be paid by the Lessee to the Lessor in
advance on the Effective Date (“Advance Rent”). This Advance Rent shall be adjusted
against the first month rental payment from the Commencement Date. Thereafter, the
Rent shall be payable on monthly basis, within five (5) Business days from the invoice
issue date (the “Rental Payment Date”), for the entire Term.

2.3. The Rent shall be subject to annual increment of [•] per annum after every twelve (12)
months from the Commencement Date.

3. Taxes and Registration

3.1. The Lessee shall be liable for all taxes levied against any interest of the Lessee or
personal property and fixtures owned or placed by the Lessee in the Premises. Nothing
contained in this Lease shall require the Lessee to pay an estate, inheritance, succession,
capital levy, corporate franchise, gross receipts, transfer, urban immovable property tax
or income tax levied upon or payable by the Lessor.

3.2. The Lessor shall be liable for payment of stamp duty on execution of this Lease along
with any property tax, wealth tax and any other tax levied on the owners of commercial
property in Islamabad.

3.3. The Lessor and the Lessee undertake to complete all the necessary requirements to
register this Lease if required in accordance with the provisions of the Registration Act
1908, provided that the Lessor shall be responsible for the cost of registration.

4. Warranties, Representations, Covenants and Undertakings

4.1. The Lessor represents, and warrants to and for the benefit of the Lessee that:

4.1.1. it is the sole registered and legal owner of the Premises, free and clear of any
mortgage, charge, pledge, lien, option, restriction, right of first refusal, right of
pre-emption, any third party right or interest or claim or any other Encumbrance

or security interest of any kind having similar effect, other than by virtue of this
Lease;

4.1.2. it has full power, authority and capacity to grant to the Lessee this Lease for the
purpose and upon the terms and conditions herein contemplated;

4.1.3. the Lessor has not entered into any agreement relating to the Premises with any
person other than the Lessee, and the Lessor is capable and has the authority to
deliver possession of the Premises to the Lessee free from any Encumbrance or
dispute; and

4.1.4. there are no suits or any other proceedings, whether judicial or quasi-judicial,
arbitral or administrative, pending in respect of the Premises or any part thereof.
Neither the Premises nor any part thereof is subject matter of any suit, petition,
application, complaint, and/or proceedings before any civil court, arbitration,
authority or body or any other proceedings, judicial or otherwise.

4.2. The Lessee represents, warrants and covenants with the Lessor that:

4.2.1. it is validly incorporated, duly registered under the laws of Pakistan and it has
the capacity, power and authority to enter into and perform its obligations under
this Lease;

4.2.2. it has taken all requisite corporate actions, as applicable to approve execution,
delivery and performance of this Lease;

4.2.3. it shall not to use the Premises for any unlawful purpose and not to permit any act,
which may become a nuisance to the occupants of the adjoining premises;

IN WITNESS WHEREOF the Parties hereto have set their hands hereunto in full agreement of
the terms and conditions set-forth herein above the day and year hereinbefore first mentioned.
